  • Commercially exploiting, licensing, sublicensing, selling, transferring, assigning, distributing, or otherwise making the Site available to third parties.
  • Modifying or creating derivative works based on the Site.
  • Sending spam or unsolicited messages in violation of applicable laws.
  • Transmitting or storing infringing, obscene, threatening, defamatory, or otherwise unlawful material, including content harmful to children or infringing upon third-party privacy rights.

"Partner Services" comprise the goods, products, and/or services provided by a Partner and available for purchase or booking on the Right Tasker Platform. This includes fulfilling Appointments, Vouchers, and Orders.

"Partner Terms of Sale" denote the details and terms associated with an Appointment, including the date, time, price, Partner Services, location, discounts, and other terms and conditions. These terms are provided through the Right Tasker Platform at the time of making a Client's Appointment.

"Partner Voucher" signifies a voucher issued by a Partner through the Right Tasker Platform, containing details of a Partner's offer and a unique security code. When presented in physical or electronic form to the relevant Partner, it entitles the holder to receive the Partner's offer, subject to the applicable Partner Contract.

"Partner" refers to a third-party provider of goods and services selected to offer their products and services for sale on the Right Tasker Platform.

"Pay In-Store Service" pertains to a scenario where an Appointment/Order is made on the Right Tasker Platform, but the payment is made directly at the Partner's location rather than online using Right Tasker Payment Services.

"Payment Processor" signifies third-party payment processors collaborating with Right Tasker to provide the Right Tasker Payment Services.

"Promo Codes" indicate promotional codes provided by a Partner that can be utilized when purchasing Partner Services, subject to the terms of the respective promotion.

Upon initiating an Appointment/Order, we (as the commercial agent representing the Partner) will forward your request to the Partner, and the formal Partner Contract will be established once we transmit a Confirmation to you. It's important to note that the availability of all Partner Services displayed on the Right Tasker Platform is contingent upon actual availability. We possess the authority to accept or decline each individual Appointment/Order on behalf of the Partner. The Confirmation, which will be sent via email or SMS to the contact details provided in your Right Tasker Account upon confirming an Appointment/Order, serves as your acknowledgment from Right Tasker. If you require a tax receipt, it's necessary to directly get in touch with the Partner.

When you create an appointment, remember that you must be present at the Partner's business location in order to receive the Partner Services. The exact location will be specified in the Partner Terms of Sale.

Our Partners have the option to offer Partner Vouchers that can be used for their services or allow you to buy Partner Vouchers for future use towards their services. The availability and terms of Partner Vouchers are determined by each individual Partner.

If you decide to purchase a Partner Voucher from a Partner, the terms and conditions provided by the Partner at the time of purchase will apply. The issuance and redemption of Partner Vouchers are governed by the Partner Contract, including any applicable Partner Terms of Sale. Please note that Right Tasker is not a participant in the Partner Contract that you establish with the Partner, and we do not assume responsibility for Partner Vouchers. In cases where the terms of an offer do not specify a fixed or minimum duration during which the offer will be valid, the Partner holds the right to withdraw the offer at any time. This is applicable unless you have already placed an Appointment/Order based on the offer, and we have sent you a confirmation notice.

Promo codes issued by our Partners
Promo codes, which can be applied during the purchase of Partner Services, may be provided by our Partners. These Promo Codes are issued at the discretion of the Partner and can be withdrawn at any time. This could happen if they are suspected of being used fraudulently, leading to technical problems, or subject to manipulation.

When Promo Codes are designated for your exclusive use, you should not share them with any third parties. However, if Promo Codes are meant for public use, you can share them with anyone. Should it be reasonably determined by Right Tasker or the Partner that you have shared or misused a Promo Code, it may be canceled.

The terms and conditions of Promo Codes, as well as the fulfillment of Partner Services, are the responsibility of the Partner. Right Tasker does not assume any responsibility for the Promo Codes provided by our Partners. For more details on Promo Codes, you can refer to our blog.

Paying for a Partner service
Prices charged by our Partners
The prices, along with any applicable delivery or processing charges, for your Appointment/Order will be clearly stated on the Right Tasker Platform.

Please note that the final price of an Appointment might change if you decide to purchase extra goods or services from the Partner when you receive the Partner Services.

Additionally, Right Tasker Partners may provide discounts that will be taken into account in the final payment amount.
Tips
If you'd like, you have the option to provide a tip to the Partner after your Appointment. A notification will be displayed on the Right Tasker Platform for this purpose. Tipping is entirely voluntary and separate from the payment for the Appointment itself. Right Tasker acts as the limited payment collection agent for the Partner and will handle the collection of tips on their behalf. When you decide to tip, it will be treated as a direct payment from you to the Partner. Your name will be shared with the Partner when we notify them about the tip. After accounting for payment processing fees, the Partner will receive 100% of the tip amount you choose to give.
Making payments for Partner services
By using the Right Tasker Platform, you agree to provide a valid payment method and to pay for all Partner Services you purchase from the Partner. Payments for Appointments and Orders can be made either through the Right Tasker Payment Services or directly with the Partner using the Pay In-Store Service.

If you opt to use the Right Tasker Payment Services, Right Tasker, acting as the commercial agent for the Partner, will charge you the total amount for your Appointment/Order, including any applicable taxes and additional fees. To facilitate the Right Tasker Payment Services, we will use the payment method you provide us with, and the payment will be processed in the currency specified in the Confirmation. Any currency conversion costs or other charges incurred by you will be your responsibility in addition to the payment made to us. When Right Tasker receives your payment, your debt to the relevant Partner for that Appointment/Order will be settled.

You might have the choice to select certain Appointments/Orders as a Pay In-Store Service. This means you can make the Appointment/Order without using the Right Tasker Payment Services and instead pay the Partner directly for their services using cash, credit card, or another payment method accepted by the Partner. The Partner may have the option to charge the payment method associated with your Right Tasker Account at checkout for Pay In-Store Services. This choice will be available only for Partners that offer Pay In-Store Services and may not be applicable for all Partners.
Making payments for Partner services
Right Tasker employs a third-party payment processor (referred to as the "Payment Processor") to facilitate the linkage of the payment card you provide within the Right Tasker Platform. The handling of payments or credits, as applicable, in connection with your usage of the Right Tasker Platform will be subject to the privacy policies, terms and conditions, and other provisions of our Payment Processor, as well as the terms of your credit card issuer. These terms are additional to the Terms of Service outlined here. While Right Tasker takes reasonable precautions to ensure the availability and functionality of the Right Tasker Payment Services, we cannot guarantee continuous, uninterrupted, or fully secure access to this service. Furthermore, we cannot guarantee that the system is immune to viruses or errors.

It's important to note that Right Tasker cannot be held responsible for any errors arising from the actions of the Payment Processor. Periodically, access to Payment Processing may be limited to accommodate repairs, maintenance, or the implementation of new features or services. We will make efforts to provide reasonable advance notice of any planned interruptions and will endeavor to restore the service as quickly as reasonably feasible.
Tax
The Partner bears sole responsibility for any indirect taxes (such as sales tax, VAT, GST, or service tax) relating to the complete value of an Appointment/Order. This also encompasses any adjustments made for additional goods or services sold and any applied discounts, as appropriate.

With the exception of VAT or other pertinent sales taxes that are incorporated within the displayed price on the Right Tasker Platform, Right Tasker does not levy taxes on Orders. This is because the Partner Services are furnished by the Partner, not by Right Tasker. Should you place an order through the Right Tasker Platform, a tax invoice will be furnished via the same platform. Conversely, if you place an order directly through a Partner, the Partner will provide a tax invoice upon request.

We include taxes for all Products in an Order and implement the highest relevant tax rate for shipping, where applicable. In instances where Products within an Order bear distinct tax rates, the highest tax rate will be extended to all Products within that Order.

Appointment changes and cancellations
Rescheduling an appointment
If you decide to change the timing or date of your Appointment, either partially or entirely, subsequent to receiving a Confirmation, you have the option to reschedule. This can be accomplished through the Right Tasker Platform or by directly getting in touch with the respective Partner.

Please note that rescheduling is contingent upon your Appointment not being imminent, falling within a specific timeframe (e.g., 24 or 48 hours) defined by the Partner in accordance with the Partner Terms of Sale. The window within which you can reschedule your Appointment, as well as the time span between your rescheduled Appointment and the original scheduled start time, will be set independently by each Partner. This information will be disclosed to you at the time of making your Appointment. It's important to familiarize yourself with the Cancellation Policy before confirming your appointment on the Right Tasker Platform. Additionally, bear in mind that your capacity to reschedule is subject to the Partner's availability during your preferred rescheduling time.
Deposits, cancellation and no show policies
In addition to any other legal entitlements you may have, under specific circumstances, you possess the right to terminate a Partner Contract as outlined in this section of the Terms of Service.
Deposits

Partners have the authority to demand a Deposit, which can be in the form of Partner Credits, amounting to a maximum of 100% of the Appointment/Order value, to validate your Appointment/Order as stipulated by the Partner Contract (including any Deposit Policy). We advise that you review the Partner Contract (including any Deposit Policy) before finalizing the Appointment/Order. Deposits might be non-refundable. Right Tasker bears no responsibility for any Deposits made to a Partner.
Cancellations & no shows

If you decide to cancel your scheduled Appointment, you can do so through the Right Tasker Platform or by directly contacting your Partner. However, please note that cancellation options may be subject to specific time frames set by the Partner as outlined in the Partner Terms of Sale. The duration during which you can cancel your Appointment will be determined separately by each Partner and communicated to you at the time of arranging the Appointment, as part of the Partner Terms of Sale.

Right Tasker Partners may implement a Cancellation Policy, which will be communicated and confirmed with you when scheduling your Appointment. If such a policy exists, Right Tasker may automatically charge your card an amount determined by the Partner, potentially up to the full value (100%) of the Appointment, in case of a cancellation. If you decide to cancel an Appointment beyond the period specified in the Partner's Cancellation Policy, a refund might not be possible unless mutually agreed upon between you and the Partner directly.

Partners might also implement a No Show Policy. If you fail to appear at the Partner's premises at the scheduled Appointment time, the Partner may opt to apply their No Show Policy, leading to a potential automatic charge by Right Tasker of up to the full value (100%) of the Appointment.

It's important to note that refunds won't be granted for cancellations made within the specific time frame outlined in the relevant Partner's Cancellation Policy.

Purchasing products from Partners
Our Partners have the option to establish their own Partner stores through our services, enabling you to directly purchase Products from them. It's important to note that Right Tasker does not function as the seller of the Products available on the Right Tasker Platform; rather, these Products are sold by our Partners. When you make a purchase of a Product via the Right Tasker Platform, you are conducting the transaction with the Partner, not with Right Tasker. Consequently, the Partner assumes complete responsibility for aspects such as marketing, advertising, sales, delivery, and any subsequent post-sale assistance.

Should you encounter any issues with a Product, such as dissatisfaction, defects, or delays, we recommend that you get in touch with the specific Partner responsible for selling the Product. Below, we outline the minimum cancellation and refund rights that Partners are required to offer, as detailed in this policy.
Product delivery
The Order you place will be fulfilled and delivered by the specified delivery date provided in the Confirmation. If no delivery date is indicated, the delivery will occur within 30 days from the Confirmation date, except in extraordinary circumstances.

The delivery address you provide during the Order process will be used for shipping. It's important to note that delivery to PO Box addresses or similar locations is not feasible. Our Partners decide on the countries and addresses they are able to ship to. Additionally, please be aware that the destination you select for shipping may incur customs or import duties.

Within a single Order, all Products will be delivered to the same address. If you're ordering Products for delivery to a different country than the Partner's location, and if the Partner agrees to such delivery, customs authorities may open and inspect the package. Import duties and taxes might apply upon delivery to the designated destination, and you will be responsible for settling these charges. It's important to recognize that we have no control over the amount of these charges and cannot predict them. Prior to placing your Order, we recommend reaching out to your local customs office for more information.

Furthermore, you are required to adhere to all relevant laws and regulations of the country where the Products are being delivered. Any non-compliance with these laws will not be the responsibility of Right Tasker.
Product returns and refunds
For customers located in the United Kingdom:
 
  • If you cancel an Order with a Partner within the fourteen (14) day cooling-off period, the Partner is obligated to process your refund promptly, and in any case, within 14 days after the day on which they receive the returned Products or, if earlier, the day they receive evidence that you have returned the Products to the specified returns address. The refund will encompass the full price of the Product, along with the standard delivery cost (note that this might not include any charges associated with alternative or premium delivery options). Nonetheless, you will be responsible for covering the expense of returning the Product(s) to the Partner, unless otherwise stated in the applicable Partner Terms of Sale.​
  • In situations where you place an Order, pay for a Product, but the Partner declines your Order, you will be eligible for a refund for that specific purchase.

Typically, any refunded funds will be returned to you using the same payment method you initially utilized for your purchase.

For customers located outside the United Kingdom, local consumer laws might be applicable.
Faulty products
If any Product you Order arrives damaged or faulty, the Partner may provide a suitable remedy, such as a repair, exchange, or refund, as per your legal entitlements. If you believe that a Product was delivered to you in a damaged or faulty condition, you should communicate this matter to the Partner in writing, specifying your name, delivery address, and Order reference. This section does not undermine your legal rights.

Restrictions on access
Right Tasker retains the right to impose partial or complete restrictions on your access to the Right Tasker Services or Right Tasker Platform under the following circumstances:
 
  • If you have a history of multiple instances of canceled Appointments, no-shows, refunds, chargebacks, or other negative transactions that impact the experience of our Partners.
  • If you do not pass credit or fraud prevention checks conducted by the Right Tasker Payment Services.
  • If there is a reasonable suspicion of fraud or money laundering associated with you or your Right Tasker Account.
  • If there is a reasonable suspicion that the security of your Right Tasker Account has been compromised.
  • If you engage in inappropriate, abusive, or offensive behavior towards Right Tasker staff, Partner employees, or breach our Terms of Use.
  • If you violate any other terms specified in these Terms of Service, including commitments made to us.
  • If, in our reasonable and sole discretion, your actions adversely impact the quality of Right Tasker Services.

Additionally, as Partner Services are offered by our Partners and not by Right Tasker, our Partners may establish supplementary restrictions on individuals eligible to purchase and book their Partner Services. Specifically, Partners may:
 
  • Restrict your access to their Partner Profile.
  • Prevent you from booking or ordering Partner Services they offer.
  • Enforce other limitations on your interactions with them through the Right Tasker Platform.

These restrictions are solely determined by the Partners, and we are unable to provide access to these specific Partner Services.

Liability
We will be held liable for any loss or damage you incur as a result of our negligence and/or a breach of our contractual obligations to you, as long as that loss or damage is foreseeable. A loss or damage is foreseeable if it's an evident consequence of our negligence or breach of contract, or if you and we would have considered it a likely outcome when you accepted these Terms of Service.

However, we do not accept liability for the following types of loss, even if they arise from breach of contract, tort (including negligence), or other causes, unless such loss or damage is foreseeable: loss of income or revenue, loss of business, loss of profits, loss of anticipated savings, or waste of management or office time.

We do not exclude or limit our liability for death or personal injury resulting from our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

Please note that we are not accountable to you for the provision or non-provision of Partner Services and/or Products. It is the responsibility of the Partner to fulfill all obligations related to the Partner Services and Products as outlined in your Partner Contract with them.

Indemnity
You agree to indemnify and release Right Tasker, including its subsidiaries, agents, licensors, managers, affiliated companies, staff members, contractors, agents, officers, and directors, from any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including attorney's fees and costs) arising from or related to:
 
  • Your use (or misuse) of the Right Tasker Services or Right Tasker Platform, including any data or content transmitted or received by you.
  • Information submitted via your customer account, including any personal information or other content, that is misleading, false, or inaccurate.
  • Your violation or breach of any term stated in these Terms of Service or any applicable law, rule, or regulation.
  • Your infringement upon the rights of any third party, including Partners.
  • Negligent or willful misconduct on your part.
  • Any other party's use of the Right Tasker Services through your unique username, password, or other security code.

By accepting these Terms of Service, you agree to bear responsibility for and protect Right Tasker from any liabilities, claims, and expenses arising from such situations.

Ending these Terms of service
Upon termination of the agreement, Right Tasker is committed to taking necessary actions to handle personal data. Within a reasonable timeframe and no later than thirty (30) days after termination, Right Tasker will delete (or render inaccessible) personal data or return it to the Client as per the Client's instructions.

However, it's important to note that Right Tasker may retain personal data for a period beyond termination if required by applicable law. This ensures compliance with legal obligations and ensures that any necessary data retention requirements are met.

General
Platform Fees
Clients currently enjoy free use of the Right Tasker Platform. However, Right Tasker retains the right to potentially introduce a fee for accessing and using the platform in the future. If such a decision is made, Right Tasker will provide advance notice to users and give them the option to either continue using the platform under the new fee structure or discontinue its use if they choose.
Assignment
You are not permitted to transfer or assign your rights under these Terms of Service to any other party without obtaining the prior written approval of Right Tasker.

Right Tasker has the right to provide notices to you through various means, including general notices on the Right Tasker Platform, email, or regular mail. Entire agreement
The Terms of Service, along with any referenced documents, constitute the complete agreement between you and Right Tasker, governing your use of the Right Tasker Services. This supersedes any previous versions of the Terms of Service. Your Partner Contract governs the provision of Partner Services and Products.
Enforcement & severability
Right Tasker's failure to exercise or enforce any right or provision of the Terms of Service does not waive that right or provision.

If any provision of these Terms of Service is deemed invalid, unlawful, or unenforceable by a competent authority, that provision will be severed to the extent necessary. The remaining provisions of the Terms of Service will continue to be valid and enforceable.
Governing Law
These Terms of Service will be governed by and interpreted in accordance with the laws of England. Both you and Right Tasker agree that any claim or dispute arising from or related to the ordering and/or supply of Partner Services through the Right Tasker Platform will be subject to the non-exclusive jurisdiction of the English courts.
Interpretation
Where applicable, words in these Terms of Service and Conditions that are defined in the singular shall retain the same definition in the plural, and vice versa. Additionally, words in the masculine gender include the feminine gender, and vice versa.

We reserve the right to update these Terms of Service periodically, and any changes will be posted on this page. As long as you comply with these Terms of Service, Right Tasker grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the Right Tasker Platform.

Right Tasker reserves the right to apply limits on specific features and services or restrict your access to parts or all of the Right Tasker Services without notice or liability. These modifications will not affect any previously placed Bookings/Orders.

While we treat complaints about our Partners with the utmost seriousness and will make efforts to assist in resolution, please note that we are not liable to you for Partner Services and are not obligated to provide refunds or compensation if you are dissatisfied with any Partner Services.

Our responsibility includes enabling individuals to make Right Tasker Bookings with Online Payments. To facilitate this, you designate us as your commercial agent according to these Partner Terms of Business.

For Right Tasker Bookings involving Online Payments, we will manage the collection of payments from Clients on your behalf. When a Client submits payment to Right Tasker, it effectively settles the debt they owe to you.

Regarding Pay Cash In-Store Bookings, we will take either of the following approaches: deduct our applicable Service Fees from the sum we owe you, if possible, or if not feasible, outline the amount you owe us in your Invoice Statement.

In the absence of contrary stipulations in this Agreement, we will furnish you with an Invoice Statement on a monthly basis. This statement will detail what we owe you, your obligations to us (including Service Fees and any other relevant charges), and the ensuing balance (whether you owe us, we owe you, or the balance is resolved).

In the event that funds are owed to you, we will make the corresponding payment to your designated bank account.

If you possess a debt to us, we will process the charge on the credit card you provided through the Right Tasker Business Software.

Should the balance be fully settled, we will indicate on the Invoice Statement that no further action is necessary.

If any challenges arise in meeting your outstanding balance within the stipulated timeframe, we urge you to reach out without delay. Please note that if payment difficulties persist, we retain the right to temporarily suspend or discontinue access to the Right Tasker Business Software or the Right Tasker Platform.
What is covered in these terms
These are the Partner Terms of Business with Right Tasker (also referred to as the Agreement). Each of the parties, Right Tasker and the Partner, may be referred to as a "party," or collectively as "parties."

We operate a booking platform known as the Right Tasker Platform, allowing you to promote your Partner Services to potential customers. As part of the Right Tasker Platform, Partners are granted a license to use our comprehensive business management software, equipped with a wide array of features.

We furnish Right Tasker Booking Services, enabling you to manage Client calendar bookings, encompassing multiple staff and locations, as well as product inventory management.

Additionally, we offer supplementary services, encompassing advanced features like online booking, appointment scheduling software, payment services, marketing and messaging assistance, and professional services.

The Partner is accountable for the Partner Services provided to Clients, and the contractual agreement for these services rests between you and the Client. We bear no responsibility to Clients for the Partner Services rendered by you.

In exchange for availing the Right Tasker Services, you assume certain obligations toward Right Tasker. While these obligations are comprehensively detailed in the full version, key obligations include:

Agreement to deliver Partner Services at the highest industry standards.

Ensuring possession of all necessary licenses, consents, permits, qualifications, authorizations, and insurances required to perform the Partner Services.

Concerning Pay Cash In-Store Bookings, Right Tasker solely acts as a technology provider and not a commercial booking agent. Clients and Partners retain the ability to cancel Pay Cash In-Store Bookings until the appointment time. The formation of a contract between the Client and the Partner is established only upon the appointment's occurrence.

Confirmation and reminder emails are dispatched to Clients via the Right Tasker Business Software on your behalf for each Right Tasker Booking. However, the Partner is accountable for delivering the Partner Services, managing cancellations or rescheduling with the Client directly or through the Right Tasker Business Software. In the Pay Cash In-Store Bookings process, Right Tasker's role is limited to providing technology for facilitating the booking.

You can employ the Right Tasker Widget to offer the same prices as those on your own website. You have the option to provide lower prices or exclusive offers to specific groups of individuals (both online and offline), within your salon and on alternative online sales platforms.

You must ensure that all information provided in your Online Partner Profile is accurate, free from misleading content, and compliant with legal regulations.

Your policies for cancellation and rescheduling of Right Tasker Bookings must adhere to Right Tasker’s Terms of Service and relevant consumer laws.

Ultimately, you are accountable for the Partner Services offered to Clients, with the contractual arrangement governing these services established between you and the Client. Right Tasker bears no liability towards Clients for the Partner Services provided by you.

In return for availing the Right Tasker Services, you are subject to various obligations outlined in these Partner Terms (alongside any additional terms you provide to Clients).

If you are a parent or legal guardian and permit your child or dependent to use the Right Tasker Services, these terms apply to you, and you are accountable for overseeing your child's or dependent's activities on the Right Tasker Platform.

The Partner acknowledges and comprehends that Right Tasker functions as a commercial booking agent and does not directly provide the Partner Services to Clients. The contract governing the Partner Services is established between the Partner and the Right Tasker Client. Consequently, it is the Partner's duty, if registered for indirect taxes, to impose such taxes on the entire value of the Right Tasker Booking and furnish a tax receipt to the Client upon request. Indirect tax is only applied by Right Tasker to the Partner on the Service Fees, in consideration for rendering the Right Tasker Services.

In scenarios involving fraudulent or suspected fraudulent activities by the Partner or instances where Right Tasker is legally obligated, whether due to a court order, governmental directive, arbitration verdict, or compliance with its cancellation policy, to refund part or all of a Right Tasker Booking, Right Tasker retains the right to request reimbursement from the Partner for any sum necessitated for restitution to the Client, along with any associated Bank Charges.
How Partners obtain the license for the use of the Right Tasker services
Upon the settlement of Service Fees (if applicable), the Partner is authorized to utilize the Right Tasker Services to process Right Tasker Bookings (or direct bookings initiated by Partner Clients) exclusively for its own benefit.

Under the terms of the license granting the Partner access to the Right Tasker Services (including, where applicable, the Right Tasker Business Software, the Right Tasker Platform, the Right Tasker Widget, and the Online Partner Profile), the Partner undertakes not to engage in any of the following activities:

 
  • Replicate, duplicate, sell, copy, resell, or exploit any part or entirety of the Right Tasker Services.
  • Permit any third party, including affiliates of the Partner, to access or use the Right Tasker Business Software without obtaining explicit prior written consent from Right Tasker. The granting or denial of such permission shall be determined by Right Tasker at its sole discretion.
  • Transmit unsolicited emails, SMS messages, or other forms of electronic marketing to Clients via the Right Tasker Business Software (or engage in any form of direct marketing that contravenes applicable Data Protection Legislation).
  • Reveal, distribute, or trade any login credentials or passwords related to the Services.
How we work with third-party and affiliate websites and applications
Right Tasker holds the right to disclose or advertise any information obtained through this Agreement, encompassing details like calendar availability, business particulars, service explanations, and pricing, on external platforms or mobile applications operated by third parties. This action is especially pertinent through tools like the Right Tasker Widget or alternative application program interfaces (APIs). Right Tasker reserves the prerogative to furnish affiliates and other third parties with the Right Tasker Widget or other APIs for the purpose of endorsing specific Partner Services. However, Right Tasker is not compelled to endorse all Partner Services using these external affiliate platforms.
How we access and use the content of our Partners
The Partner hereby grants Right Tasker a non-exclusive, royalty-free, irrevocable, and global right and license (or sublicense as applicable) to utilize, reproduce, distribute, sublicense, communicate, and make accessible the content that Partners publish on the Right Tasker Services. This license extends to any other purposes necessary for Right Tasker to exercise its rights and fulfill its obligations under this Agreement.

The Partner warrants that they own the Partner Content and/or possess the entitlement to grant the aforementioned license.

Right Tasker may sublicense, make accessible, reveal, and/or offer the Partner content to Affiliates and third parties. Under no circumstances shall Right Tasker be accountable to the Partner for any actions or inactions on the part of any third-party platforms. The singular recourse available to the Partner concerning such third-party platforms is to either:

Request Right Tasker (which has the right, not the obligation) to deactivate and sever ties with such third-party platforms pertaining to the Partner; or
Terminate this Agreement in accordance with the "Suspending or terminating your access to Right Tasker" section.

The Partner hereby authorizes Right Tasker to:

Revise, modify, condense, or otherwise adjust content provided by the Partner and published on the Online Partner Profile or other parts of the Right Tasker Platform or Right Tasker Widget. This includes instances where such content does not, in Right Tasker's reasonable judgment, adhere to the warranties outlined in this section or contravenes the terms of this Agreement.
Employ search engine optimization services, pay-per-click advertising, and other mechanisms that encompass, incorporate, or reference (in whole or part) the trading name of the Partner or any brands associated with the Partner Services.

To oversee the Right Tasker Services (encompassing the Right Tasker Platform, Online Partner Profile, and any Partner Content), Right Tasker holds the discretion to amend, on an absolute basis and periodically, the layout, content, and style of Partner page descriptions, photographs, and service menus.
What we expect from our Partners
The Partner acknowledges and agrees that the Right Tasker Services, specifically the Right Tasker Widget and Online Partner Profile (as periodically updated by Right Tasker), are designated as "Powered by Right Tasker." These services will include Right Tasker branding such as logos, trademarks, and images. Additionally, these services will provide Clients with the option to opt-in for receiving email marketing communications from both the Partner and Right Tasker.

Right Tasker will furnish the Partner with a user account and password, granting access to the Right Tasker Business Software. It is the Partner's responsibility to ensure the confidentiality and secure storage of these account details and password. They must refrain from divulging this information to anyone other than those who require access to the Right Tasker Business Software and are aware of the obligation to maintain the confidentiality of such details. The Partner holds sole accountability for managing access to their user account, which encompasses employees, contractors, and other personnel. If any individual with access to the user account departs from the Partner's business or no longer requires access, the Partner must change the password. Any suspected security breach or improper usage, including actions that breach this Agreement, Right Tasker's reasonable directives, and/or applicable law, must be promptly reported to Right Tasker.

In exchange for receiving the Right Tasker Services, the Partner commits to paying all relevant Service Fees to Right Tasker. They also undertake to deliver all Right Tasker Bookings and offer the Partner Services in accordance with the highest industry standards and the specific terms and conditions outlined in this Agreement, especially within this section.

Right Tasker offers Right Tasker Services designed to simplify the process of Clients booking appointments online with you and other participating partners. The Right Tasker Booking Services encompass a centralized compilation of Partner Services, allowing Clients to explore, evaluate, and reserve these services using the Right Tasker Booking Services.

You have the option to make specific Partner Services available for purchase through the Right Tasker Booking Services. You retain the flexibility to modify the Partner Services offered through the Right Tasker Booking Services at your discretion. These adjustments can be executed via your Partner Account, and the updates will be automatically reflected on both the Right Tasker Platform and the Right Tasker Widget.

Whenever a Client initiates a Right Tasker Booking, the Partner Terms of Sale associated with the Right Tasker Booking will be presented to the Client. This information will be electronically conveyed to both the Client and the Partner by Right Tasker. Before confirming a Right Tasker Booking, the Client will need to acknowledge and agree to the Partner Terms of Sale.

You hereby designate Right Tasker as your representative to accept Right Tasker Bookings initiated by Clients.

For all Right Tasker Bookings with Online Payments, you authorize Right Tasker to act as your agent for the purpose of collecting and processing payments (inclusive of any applicable taxes and delivery fees) on your behalf. Despite this arrangement, you retain full responsibility and accountability for delivering and providing Partner Services to Clients. Notably, Right Tasker exclusively serves as a technology provider in relation to Pay Cash In-Store Bookings.
How we promote our Partners
Right Tasker is committed to promoting the Right Tasker Booking Services in accordance with the terms stipulated in this Agreement, while adhering to the specified constraints. With the aim of enhancing your online business visibility and augmenting the number of appointments scheduled through the Right Tasker Booking Services, Right Tasker reserves the right, at its sole discretion, to establish partnerships with third-party websites and entities. This collaboration would be geared towards optimizing your business listings, harnessing search engine optimization, leveraging search engine marketing, capitalizing on lead generation prospects, fostering social networking opportunities, and implementing any other strategies that Right Tasker deems suitable to boost traffic and engagement on the Right Tasker Booking Services.

Right Tasker holds the prerogative to promote select Partner Services across various online and offline channels. This promotional outreach may encompass diverse platforms such as advertisements, promotional mediums, social media platforms, search engines, Google, Google AdWords, keyword-based advertising, Facebook Ads, Twitter, email distribution lists, the Right Tasker.com homepage, email newsletters, third-party marketplaces, websites or mobile applications affiliated with business partners, and through the network of Right Tasker's affiliates. These promotional initiatives might entail details about your business, including its business name, scheduling particulars, service descriptions, pricing, staff details, staff titles, location, imagery, and other pertinent information pertaining to your business.

Moreover, on an occasional basis, Right Tasker may furnish Clients with supplementary information about Partners, subject to the restrictions delineated in this Agreement.
How to ensure the online partner profile stands out on Right Tasker
Content Standards
Partners bear the responsibility of maintaining the accuracy, comprehensiveness, and integrity of the content displayed on the Right Tasker Platform. This content should precisely reflect the Partner Services, pricing, staff availability, Cancellation Policies, No-Show Policies, and other pertinent information offered by the Partner. Ensuring the accuracy of this content and promptly updating it on the Right Tasker Business Software's Partner Account is a duty assigned to the Partner. This serves to keep the information, including calendar availability, current and relevant at all times. In instances where the Partner fails to furnish this information to Right Tasker, Right Tasker reserves the prerogative to suspend or terminate the respective Partner Account.


Online Partner Profile
Partners have the option to establish an Online Partner Profile aimed at showcasing their Partner Services. This profile incorporates buttons that facilitate Clients' access to Partner Services, including a "Book Now" button for booking appointments and an "Order Now" button for purchasing Products.

It's important to note that Right Tasker utilizes these "Book Now" and "Order Now" button links to ascertain whether a new client fee (defined in applicable terms) is applicable:

 
  • Button links created within your Online Partner Profile will not trigger a new client fee.
  • Button links generated elsewhere on the Right Tasker Platform will lead to the application of a new client fee.

Partners must exercise care to ensure they share, copy, or employ the accurate button links. In the event of incorrect link usage, Right Tasker is not liable for any new client fee refunds.

Partners bear the responsibility of maintaining precise and comprehensive details in their Online Partner Profile, including up-to-date contact information. When using photographs, Partners must ensure that the images uploaded accurately represent their services and establishment, while also adhering to applicable legal requirements, including Data Protection Legislation.

Modification and management of the Online Partner Profile's content can be done through the "Online Booking" section of the Right Tasker Business Software.

It's important for Partners to be aware that their Online Partner Profile should not contain direct references, contact details, or links to the Partner's website, app, platform, tool, or those of third parties.


Partner profile transparency and consent
The Partner acknowledges and agrees that it is responsible for obtaining and documenting the consent of each of its employees and contractors to feature their information on the Right Tasker Platform and the Right Tasker Widget for Clients. This information encompasses, but is not restricted to, particulars like names, photographs, skills, contact details, availability, and provided services. In the event that an employee or contractor revokes this consent, the Partner must promptly remove their information from the Right Tasker Booking Services.


Partner service fulfillment
The Partner is obligated to fulfill their commitment to provide Partner Services for all Right Tasker Bookings. Specifically, the Partner must adhere to the Partner Terms of Sale for Right Tasker Bookings concerning their Partner Services. This includes compliance with the Deposit Policy, Cancellation Policy, and No-Show Policy that were applicable when the Right Tasker Booking was confirmed.

The Partner is required to deliver all Right Tasker Bookings and should only decline to provide them under exceptional circumstances. Clients are entitled to receive the Partner Services outlined in the Right Tasker Booking for the price specified in the booking. Partners are prohibited from imposing any additional fees or charges that conflict with or modify the Partner Terms of Sale for any Right Tasker Booking, unless explicitly agreed upon by the Client. If a Client receives Partner Services that are of lesser value than the amount paid for the Right Tasker Booking, they might be eligible for a refund from the Partner, equal to the difference between the received service's value and the value of the Right Tasker Booking.


Payment terms with Clients

Clients utilizing the Right Tasker Booking Services have the option to pay for their Right Tasker Booking using various payment methods supported by Right Tasker, including the Right Tasker Payment Services. The Partner acknowledges that payments made by Clients to Right Tasker for the respective Right Tasker Booking release the Client from any additional payment obligation, and the Partner shall refrain from requesting further payment from the Client related to that particular Right Tasker Booking. For Pay Cash In-Store Bookings, Partners are permitted to accept any payment methods that they typically accept in their usual business operations.
How to handle cancellation of appointments
Concerning Right Tasker Bookings, the Partner is required to adhere to the cancellation and rescheduling policy outlined in Right Tasker's Terms of Service. Here's a summarized overview of the cancellation and rescheduling policy for Right Tasker Bookings:

1. Cancellation Period and Cancellation Fees:
- Partners can set a timeframe (e.g., 4, 24, or 48 hours) before an appointment's start time as the "Cancellation Period."
- If a Client cancels before the Cancellation Period, no fees are owed, and no further obligations exist.
- Cancellations during the Cancellation Period result in the Client being liable for the fee defined in the applicable Cancellation Policy.
- Partners can determine their own Cancellation Period through the Right Tasker Business Software.
- Cancellation fees are collected via Right Tasker Payment Services and are later remitted to the Partner.
- Partners must only collect cancellation fees through Right Tasker Payment Services, and no extra fees or penalties can be imposed on the Client.

2. Flexibility in Enforcing Cancellation Policies:
- Partners can choose to waive or not enforce their Cancellation Policy on a case-by-case basis.
- If a Partner cancels a Right Tasker Booking, the cancellation fees are waived, ending the contract.

3. Modification of Cancellation Policies:
- Partners can adjust their Cancellation Policies (including Cancellation Period and fees) using the Right Tasker Business Software.
- Changes apply to future bookings, not past ones, and cannot be retroactively applied.

4. Rescheduling:
- Clients can reschedule appointments through the Right Tasker Booking Services.
- If rescheduled within the Cancellation Period, the updated time becomes part of the amended terms.

5. Pay Cash In-Store Bookings:
- For Pay Cash In-Store Bookings, Right Tasker solely provides technology and is not a booking agent.
- No contract is formed until the appointment occurs.
- Partners handle cancellations or rescheduling directly with Clients.
- Right Tasker's role is limited to facilitating Pay Cash In-Store Bookings.

These policies ensure consistent and fair practices for cancellations, rescheduling, and handling Pay Cash In-Store Bookings within the Right Tasker platform.
How to handle disputes and claims from Clients
The Partner holds direct responsibility to the Client for any shortcomings in meeting their expectations or any legal liabilities arising from the Partner Services.

The Partner is committed to delivering high-quality Partner Services and promptly addressing any sales inquiries, issues, or concerns related to Right Tasker Bookings, including handling Client complaints.

Client complaints received by Right Tasker will be forwarded to the Partner. The Partner commits to acknowledging and responding to such complaints within 48 hours, regardless of whether they originated from the Client or through Right Tasker.

Efforts should be made to resolve complaints within 14 days. The Partner should keep Right Tasker informed of correspondence with the Client and the status of the complaint.

The Right Tasker Platform and Right Tasker Widget feature a review platform, where Clients can publicly post reviews of their experiences with the Partner and Right Tasker. A selection of recent reviews may also appear on the Online Partner Profile.

The Partner must not manipulate the review platform, such as by submitting their own reviews or offering incentives for reviews. Additionally, the Partner may not submit false reviews about other services on the platform.

Negative reviews or feedback from Clients on the Right Tasker Platform are possible and outside of Right Tasker's control. The Partner may respond to reviews, but responses must be respectful and professional. Right Tasker has the discretion to review and potentially modify or remove Partner responses.

The Partner acknowledges that it has no right to seek remedies, including termination of this Agreement, based on reviews or public communications from Clients.

If the Partner believes that Client communications are defamatory or harmful, they can report such instances to Right Tasker, which will review and decide on appropriate actions, such as content removal or modification, based on its discretion.

Right Tasker extends the Right Tasker Payment Services to Partners, facilitating the collection, processing, and refunding of payments from Clients, particularly through mechanisms like Right Tasker Bookings with Online Payments.

When utilizing the Right Tasker Payment Services in any designated geographies where this service is available, Partners are accepting the associated terms and conditions of the relevant payment processor. Partners must maintain compliance with these terms and any applicable addendums as outlined on Right Tasker Payment Services.
Capture card details
If a Partner opts to secure a Right Tasker Booking by capturing the Client's card details:
 
  • An initial fixed fee portion of the payment processing fee will be charged.
  • The remaining fixed percentage of the payment processing fee will be charged when the appointment is finalized, and the Client pays for the Partner Services using Right Tasker Payment Services.

The payment processing fee, including the fixed percentage and fixed fee portion, will be visible on the Partner Account while choosing the payment method for appointments.

Please note that Right Tasker retains the right to modify these payment processing fees periodically.

This portion outlines the conditions for eligible Partners in specific regions to utilize Right Tasker hardware devices, known as "Terminals," for handling credit card transactions.
Right Tasker terminal order process
Upon submitting a terminal order request to Right Tasker, including your preference for mobile internet data service inclusion, Right Tasker will assess the request's acceptance and its associated terms.

Following acceptance, Right Tasker will furnish an order confirmation outlining the quantity, model, and pricing of the requested Terminal (including any potential complimentary allocation). This confirmation may also detail additional order-specific conditions, such as anticipated delivery date, refund criteria, support contact details, and Terminal return instructions.

Each order confirmation will feature an expiration date, after which its validity expires. You retain the option to either accept or decline the order confirmation prior to this stated expiration.

Should you choose to accept the order confirmation, Right Tasker will arrange for the delivery of the Terminal to the specified delivery location indicated in the confirmation or another mutually agreed location.
Usage of Right Tasker terminals
Upon receiving a Terminal from Right Tasker, you commit to using the Terminal exclusively within the country where your registered business operates, as well as where the Terminal was originally dispatched, all while adhering to local laws. The Terminals are designated for processing payments solely for the business specified in the Order Confirmation.

Within a period of sixty (60) days from the Terminal's receipt, it is your responsibility to activate the device by establishing an internet connection (which you must secure and maintain, be it through Wi-Fi, mobile hotspot, or mobile data provided by Right Tasker). Should you fail to activate the Terminal within this 60-day timeframe, Right Tasker reserves the right to request its return at your expense.

You undertake not to vend, transfer, license, lend, or present the Terminal to any entities not explicitly indicated in the Order Confirmation, including affiliates, subsidiaries, or entities controlled jointly with you.

To the furthest extent sanctioned by law, you consent to indemnify and shield Right Tasker from any losses (comprising but not limited to business loss) arising from your non-compliance with these Terms. Right Tasker maintains the prerogative to suspend your Terminal usage rights at any juncture if you violate these Additional Terms: Payment.
Title and usage of Right Tasker terminals
Upon acquiring a Terminal through Right Tasker, you assume legal ownership of the Terminal. You agree not to deliberately damage, modify, reverse engineer, or tamper with the hardware or software of the Terminal and commit to maintaining the Terminal's good condition. Right Tasker reserves the prerogative to use transactional data relating to the Terminal's usage or conduct on-site inspections (with reasonable notice of no less than 48 hours) to ensure compliance with the terms of this Agreement.

In the event that you discontinue the use of a Terminal for any reason (comprising termination or expiration of the Agreement, or if Right Tasker suspends the Terminal's functionality or requests its return), you agree to make every reasonable effort to return the Terminal to Right Tasker within five (5) Business Days. This obligation remains even if Right Tasker Payment Services are suspended, in accordance with the section titled "Usage of Right Tasker Terminals" above. You understand and acknowledge this requirement is in place to ensure your and Right Tasker's compliance with pertinent regulations regarding the use and disposition of payment devices.

Should you fail to return the Terminal to Right Tasker within five (5) Business Days, Right Tasker (or any appointed third party) retains the right to access your premises (or the premises where the Terminal is situated) for the purpose of recovering the Terminal. Alternatively, you shall bear the responsibility for Right Tasker's expenses related to replacing the Terminal.
Transferability and third-party usage of Right Tasker terminals
To the extent permissible under applicable law, you bear sole responsibility for any access, utilization, activity, or transfer of Terminals. Additionally, you are exclusively accountable for ensuring that any third parties who access, use, or engage with Terminals do so in accordance with the terms and conditions stipulated in this Agreement.

It is your obligation to acquaint yourself with the functionalities of the Terminals and assess their suitability for your business operations. Right Tasker does not provide any implicit or explicit guarantees regarding the suitability of the Terminal for your specific business operations.

Upon receiving and employing a Terminal, to the maximum extent allowable by law, you assume all associated risks related to the use of that Terminal, including but not limited to any business losses tied to its usage. In accordance with applicable law, you hereby agree to indemnify, safeguard, and absolve Right Tasker from and against all claims made by third parties and all associated expenses (including, but not limited to, reasonable attorney fees and costs) arising from or connected to any access, use, reliance, transfer, or disposition of the Terminals.
Delivery conditions and returns of Right Tasker terminals
The Terminal will be dispatched to the delivery address indicated in the Order Confirmation. Right Tasker will strive to deliver the Terminal around the date specified on the Order Confirmation. However, this timeline may be extended in situations where circumstances or events outside of Right Tasker's direct control arise, such as supplier or delivery challenges, personnel shortages, employee health issues, or force majeure events.

Should the Terminal arrive in a damaged state or incur damage or non-functionality through typical and intended usage, you are required to promptly inform Right Tasker in writing. Unless the damage is attributed to your own negligence, including any improper or careless handling of the Terminal, in which case you will be held responsible for all expenses related to its return and replacement, Right Tasker will, within a reasonable timeframe after being notified of the damage, arrange for the return of the impaired Terminal and offer a replacement.
Termination of Right Tasker terminal
If you wish to continue using Right Tasker Services but no longer wish to utilize a Terminal, you have the option to opt-out by sending an email to btlabs.au@gmail.com. In your email, express your intention to discontinue the use of Terminals provided by Right Tasker. Additionally, you must return any Terminals you have previously ordered to Right Tasker, following the guidelines outlined in the "Title and Usage of Right Tasker Terminals" section. Right Tasker will provide instructions on the process for returning any Terminals that you no longer wish to use. Upon confirming the successful return of Terminals and cessation of their use, Right Tasker will notify you accordingly. If you subsequently decide to use another Terminal after terminating use as outlined in this "Termination of Right Tasker Terminal" section, you will need to agree to the most up-to-date version of this section of the Agreement.

Partners have the option to establish a public-facing online store through the Right Tasker Services, known as a "Partner Store." This store is designed to showcase and offer various consumer products to Clients and can be labeled as "powered by Right Tasker." Partners have the flexibility to create and manage their Partner Store and can also choose to unpublish it if desired.

It's important to note that Right Tasker retains the right to update and modify the process outlined in this section as needed to align with changes in technology, systems, interfaces, and applications that support the Right Tasker Services.

Partners acknowledge and agree that the effective provision of services by Right Tasker under this Agreement is contingent upon the Partner's prompt cooperation, provision of relevant information, and engagement in decision-making as reasonably required by Right Tasker. This collaboration is essential for the successful execution of the Partner Store and related services.
Listing products and client sales
Upon submitting a terminal order request to Right Tasker, including your preference for mobile internet data service inclusion, Right Tasker will assess the request's acceptance and its associated terms.

Following acceptance, Right Tasker will furnish an order confirmation outlining the quantity, model, and pricing of the requested Terminal (including any potential complimentary allocation). This confirmation may also detail additional order-specific conditions, such as anticipated delivery date, refund criteria, support contact details, and Terminal return instructions.

Each order confirmation will feature an expiration date, after which its validity expires. You retain the option to either accept or decline the order confirmation prior to this stated expiration.

Should you choose to accept the order confirmation, Right Tasker will arrange for the delivery of the Terminal to the specified delivery location indicated in the confirmation or another mutually agreed location.
Partner store warranties
The Partner affirms the following representations and warranties:
 
  • Ownership and Clear Title: The Partner holds lawful ownership of the Products available for sale on the Partner Store, or the Partner possesses proper authorization from the rightful owner to offer and transfer complete ownership of the Products to Clients. These products are free from any claims, liens, or encumbrances asserted by third parties.
  • Intellectual Property Rights: The Partner possesses the legal rights to employ any Intellectual Property Rights associated with the Products offered via its Partner Store.
  • Order Fulfillment and Management: The Partner commits to efficiently fulfilling Product orders, delivering accurate and current product order information to Clients, and processing order cancellations, returns, and refunds in compliance with these Partner Terms of Business and any applicable Partner store terms, including the Partner Terms of Sale.
  • Accurate and Comprehensive Listings: Each Product listing is factual, current, and thorough, and does not contain any misleading or deceptive information.
  • Legal Compliance: No Product offered on the Partner Store is prohibited, unlawful, or contrary to Right Tasker's list of forbidden items, which may be communicated in writing by Right Tasker periodically.
  • Safety and Compliance with Regulations: Every Product adheres to safety regulations and bears any necessary markings and labels mandated by applicable laws, such as the "CE" mark where applicable.

Additionally, the Partner commits to maintaining adequate stock levels of each Product in order to meet the reasonable expectations of Clients regarding availability.

Upon acquiring a Terminal through Right Tasker, you assume legal ownership of the Terminal. You agree not to deliberately damage, modify, reverse engineer, or tamper with the hardware or software of the Terminal and commit to maintaining the Terminal's good condition. Right Tasker reserves the prerogative to use transactional data relating to the Terminal's usage or conduct on-site inspections (with reasonable notice of no less than 48 hours) to ensure compliance with the terms of this Agreement.

In the event that you discontinue the use of a Terminal for any reason (comprising termination or expiration of the Agreement, or if Right Tasker suspends the Terminal's functionality or requests its return), you agree to make every reasonable effort to return the Terminal to Right Tasker within five (5) Business Days. This obligation remains even if Right Tasker Payment Services are suspended, in accordance with the section titled "Usage of Right Tasker Terminals" above. You understand and acknowledge this requirement is in place to ensure your and Right Tasker's compliance with pertinent regulations regarding the use and disposition of payment devices.

Should you fail to return the Terminal to Right Tasker within five (5) Business Days, Right Tasker (or any appointed third party) retains the right to access your premises (or the premises where the Terminal is situated) for the purpose of recovering the Terminal. Alternatively, you shall bear the responsibility for Right Tasker's expenses related to replacing the Terminal.
Product returns
To the extent permissible under applicable law, you bear sole responsibility for any access, utilization, activity, or transfer of Terminals. Additionally, you are exclusively accountable for ensuring that any third parties who access, use, or engage with Terminals do so in accordance with the terms and conditions stipulated in this Agreement.

It is your obligation to acquaint yourself with the functionalities of the Terminals and assess their suitability for your business operations. Right Tasker does not provide any implicit or explicit guarantees regarding the suitability of the Terminal for your specific business operations.

Upon receiving and employing a Terminal, to the maximum extent allowable by law, you assume all associated risks related to the use of that Terminal, including but not limited to any business losses tied to its usage. In accordance with applicable law, you hereby agree to indemnify, safeguard, and absolve Right Tasker from and against all claims made by third parties and all associated expenses (including, but not limited to, reasonable attorney fees and costs) arising from or connected to any access, use, reliance, transfer, or disposition of the Terminals.
Partner store fees
The use of the Right Tasker Store functionality by the Partner is provided at no cost, except for any charges outlined in these Terms of Business, including the section on Right Tasker Charges and Fees. However, Right Tasker retains the right to implement a fee for the Right Tasker Store functionality. If Right Tasker decides to introduce such a fee, including service fees or commission fees, advance notice will be provided to you. You will have the option to choose whether to continue using your Right Tasker Store or discontinue its use.

Right Tasker messaging and marketing services
The Partner has the option to use the Messaging and Marketing Services provided by Right Tasker's Business Software, in compliance with relevant Data Protection Legislation, to send notifications and direct marketing messages through SMS texts, emails, or other forms of direct marketing to Clients. These services include features like appointment reminders, confirmations, and promotional communications. The following points outline the details of this service:

1. Automated Messages: The Partner can purchase a set amount of Automated Messages, which can be used for specific purposes like new appointment notifications, reminders, cancellations, and more. Automated Messages can be purchased via Manual Top Up (a one-time purchase) or Automatic Top Up (automated replenishment when the Partner Account reaches a certain level).

2. Purchasing: The Partner can choose to purchase Automated Messages in specific quantities, subject to minimum and maximum amounts displayed on the Partner Account. Payment is required in advance using a debit or credit card. Once purchased, Automated Messages are non-refundable, even in case of service or agreement termination.

3. Pricing: The price of Automated Messages is as indicated on the Partner Account during the purchase. Right Tasker reserves the right to increase prices with prior notice.

4. Free Automated Messages: Right Tasker may provide the Partner with Free Automated Messages each month, which are added to the Partner Account. Unused Free Automated Messages expire at the end of each calendar month.

5. Third-Party Engagement: Right Tasker may engage third-party providers for Messaging and Marketing Services, such as Twilio Inc. The terms and conditions of these third-party providers apply to the relevant services and should be reviewed by the Partner.

6. Use of Messaging and Marketing Services: The Partner can use these services to send appointment confirmations, reminders, cancellations, and direct marketing messages to Clients who have consented to receive such communications. Clients can opt in to receive marketing materials at the time of signing up for the Right Tasker Services or booking Partner Services.

7. Opt-Out: If a Client wishes to stop receiving marketing materials from the Partner, the Partner must promptly update the Client's settings through the Right Tasker Business Software.

8. Data Protection Compliance: The Partner is responsible for ensuring that its use of the Messaging and Marketing Services complies with Data Protection Legislation, including obtaining necessary consents and promptly addressing opt-out requests.

9. Warranties: No implied conditions, warranties, or terms apply to the Messaging and Marketing Services or any products provided by Right Tasker. Right Tasker does not guarantee uninterrupted or error-free operation.

These points outline the key terms and details of using the Messaging and Marketing Services provided by Right Tasker's Business Software. It's important for the Partner to comply with Data Protection Legislation and the terms and conditions associated with these services.

Partner vouchers and promo codes
The Partner has the ability to generate Promo Codes through its Partner Account, following the established guidelines. These Promo Codes can be shared with third parties, posted on the Partner's own websites and social media platforms to promote their services. The Partner also has the option to use Messaging and Marketing Services to distribute these Promo Codes. The following points outline the details of this feature:

1. **Generating Promo Codes**: The Partner can create Promo Codes using its Partner Account. Promo Codes are special codes that can offer discounts, promotions, or other benefits to Clients.

2. **Sharing Promo Codes**: The Partner can share these Promo Codes with third parties, as well as promote them on their own websites and social media platforms to attract Clients to their services.

3. **Using Messaging and Marketing Services**: The Partner may use the Messaging and Marketing Services to distribute Promo Codes to Clients, along with other promotional messages.

4. **Promo Code Management**: The Partner is responsible for managing the Promo Codes it generates. This includes ensuring that Promo Codes are accurate, valid, and compliant with applicable terms and conditions.

5. **Equal or Better Terms**: The Partner agrees that any promotions or offers available on its own website(s) or other online marketplace(s) will also be made available through the Right Tasker Platform as Promo Codes, with terms that are either the same as or better than those offered elsewhere.

By utilizing Promo Codes, the Partner can attract Clients to their services and offer them discounts or special deals. The Partner's responsibility includes managing these Promo Codes and ensuring that any promotions offered elsewhere are available through the Right Tasker Platform as well.
Promo Code Rules

When sharing Promo Codes with third parties, the Partner is required to include specific information, known as "Promo Code Rules," to ensure clarity and transparency for Clients. The following details should be provided as part of the Promo Code Rules:

1. **How to Use**: Clear instructions on how to apply the Promo Code, such as where to enter it during the checkout process.

2. **Start Date**: The date from which the Promo Code becomes valid for use.

3. **Expiry Date**: The date until which the Promo Code remains valid for use.

4. **Restrictions/Limitations**: Any restrictions or limitations associated with the Promo Code, such as age restrictions, geographical limitations, or specific date limitations.

5. **Availability Limitations**: Any limitations on the number of times the Promo Code can be used (e.g., one-time use only).

6. **Conditions or Information**: Any significant conditions or important information related to the use of the Promo Code.

It is important to provide this information to ensure that Clients understand how to use the Promo Code and its associated terms. Additionally, Right Tasker reserves the right to withdraw the use of Promo Codes from its services or request the removal of Promo Codes generated by the Partner if they violate guidelines, regulations, or if they are likely to cause technical issues, fraud, tampering, or bring disrepute to Right Tasker and its brand. Further guidance on using Promo Codes can be found on Right Tasker's blog.
Partner Vouchers
The Partner has the option to create Partner Vouchers through the Right Tasker Services by completing a voucher creation form. This form will require specific information, including:

1. **Voucher Name**: The name or title of the voucher.
2. **Voucher Value**: The value of the voucher, typically denominated in a specific currency.
3. **Retail Price**: The price at which the voucher is sold to Clients.
4. **Validity Period**: The period during which the voucher is valid for redemption.
5. **Number of Sales Limits**: If applicable, the maximum number of times the voucher can be sold.
6. **Services Included**: The services or products covered by the voucher.
7. **Right Tasker Platform Availability**: The availability of the voucher on the Right Tasker Platform.
8. **Partner Voucher Rules**: Any specific rules or terms associated with the voucher's use.

It is the Partner's responsibility to ensure the accuracy and appropriateness of the information provided in the voucher creation form. Any errors made by the Partner are not the responsibility of Right Tasker.

The price for the Partner Voucher services will be specified on the Right Tasker Platform and may include applicable taxes (such as VAT).

Right Tasker retains the right to make updates, modifications, removals, suspensions, or replacements to any voucher services offered on the Right Tasker Services. Such changes will not affect previously created Partner Vouchers.

Once the voucher creation form is completed, the Partner can issue and manage the vouchers through the Right Tasker Services. Each Partner Voucher published and processed through Right Tasker Payment Services may incur charges as detailed in the Right Tasker Charges and Fees section.

Vouchers will be delivered to Clients in the form of an email, PDF document, or within their Right Tasker Client Account, depending on the chosen format.
Partner voucher rules and restrictions
Vouchers created by the Partner will only be valid for the Partner's own services and can only be used on or via the Right Tasker Services.

Each Partner Voucher can be used for any Partner Service offered by the Partner (subject to any applicable Partner Terms of Sale). If there is any remaining credit after the redemption of a Partner Service, that credit can be carried forward and used for additional or subsequent Partner Services provided by the same Partner.

The usage of Partner Vouchers is restricted to the Client or individual who lawfully possesses the corresponding Partner Voucher number.

These vouchers are non-exchangeable for cash or any other alternatives and hold no monetary value.

The Partner has the authority to cancel any voucher offer, but once a voucher has been purchased or redeemed by a Client, it must be honored.

The Partner is responsible for establishing specific Partner Voucher Rules and making them available to Clients or potential customers. These rules may include requirements such as:

- Details about the covered Partner services and any limitations
- Redemption locations
- Instructions for redemption (e.g., booking by phone or online)
- Age restrictions
- Expiry date of the Partner Voucher
- Minimum or maximum participant numbers
- Optional service charges, if applicable
- Other relevant terms related to the Partner Offer

If the Partner fails to comply with these Terms of Business, including the Additional Terms related to Partner Vouchers, Right Tasker reserves the right to cancel any Partner Vouchers associated with that Partner.
Redemption of partner vouchers
Each Partner Voucher will contain information about the Partner, the Partner Offer, the Partner Services covered, and any applicable Partner Voucher Rules.

It's important to note that the contract of sale for the Partner Services is directly between the Partner and the Client. Clients are responsible for making payments to the Partner for the Partner Offer associated with the voucher.

In cases where a Partner Voucher is not honored by the Partner, Right Tasker reserves the right to refund Clients for the voucher amount and charge the Partner for the refunded amount. If the Partner fails to honor vouchers on three or more occasions without justifiable reasons, Right Tasker may refuse to allow the Partner to issue new Partner Vouchers. This policy ensures that Partner Vouchers are honored and provides a reliable experience for Clients using the Right Tasker Services.
Partners responsibility when issuing vouchers and promo codes
Partners bear full responsibility for the entire process involving the sale, transfer, implementation, and potential refunds related to Partner Vouchers and Promo Codes, as well as the delivery of services associated with them.

Right Tasker does not hold liability for any inaccuracies or errors in the Partner Vouchers or Promo Codes provided to Clients. The Partner acknowledges and agrees that it assumes full responsibility and accountability for all Partner Vouchers and Promo Codes provided to any third party.

The Partner is exclusively accountable for maintaining the validity of Partner Vouchers and Promo Codes in accordance with local regulations. For example, if the Partner sets an expiry date for vouchers or promo codes through the Partner Voucher Rules or Promo Code Rules, it is the Partner's responsibility to ensure that this end date complies with local laws. Right Tasker is not responsible for validating vouchers or promo codes for legal compliance or any potential violations.

Right Tasker professional services
Partners have the option to register and create their profiles on the Right Tasker Platform using Right Tasker's onboarding tool or by requesting to purchase Professional Services from Right Tasker. When signing up and creating a profile on the Right Tasker Platform, Partners can access the following Professional Services offerings: (i) Concierge Services and (ii) Comprehensive Data Migration. These services can be acquired separately or in combination.

Unless explicitly specified in this Agreement or agreed upon between the Partner and Right Tasker, all payments for Professional Services must be made in advance. Right Tasker holds the right to offset any payments owed to the Partner against payments owed to Right Tasker by the Partner for Professional Services, without requiring prior notice. Right Tasker retains the discretion to accept or decline requests to purchase Professional Services. The Partner acknowledges and accepts that any purchased Professional Services that have been added to the Partner's account are non-refundable, even in the event of service termination or Agreement termination.

The price of Professional Services will be communicated to the Partner at the time of purchase. For detailed information about Concierge and Comprehensive Data Migration Services, the Partner can refer to Right Tasker's Help Center.

Both the Partner and Right Tasker will collaboratively establish a schedule for Professional Services, including potential introductory calls, subsequent calls, virtual or in-person meetings, deadlines, data migration specifics, inclusion of social media and website links, and the scope of Professional Services to be delivered.

Right Tasker may choose to outsource the provision of Professional Services to third-party entities, either entirely or partially.

The Partner agrees to the following terms regarding Professional Services:

1. The Partner will:

- Cooperate fully with Right Tasker in all matters pertaining to Professional Services.
- Furnish all necessary documents and information to Right Tasker promptly, ensuring their accuracy and completeness.
- Provide any data requested by Right Tasker to facilitate the completion of Professional Services.
- Allow access to Right Tasker of any platforms or data necessary for executing Professional Services.
- Obtain and uphold all mandatory licenses and consents, as well as adhere to all applicable laws, to enable Right Tasker to deliver Professional Services. This includes granting access to any relevant platforms.
- Warrant that the Partner has the authority to grant Right Tasker access and receive data, and that such data transfer will not breach any data protection laws or third-party rights. The Partner agrees to indemnify and hold Right Tasker and its Affiliates harmless against any losses, claims, costs, damages, or proceedings resulting from the Partner's violation of this warranty.
- If the Partner's data is in physical form, it must be provided in an Excel format based on a template provided by Right Tasker and in compliance with Right Tasker's guidelines outlined in the Help Center.
- Furnish the list of users requiring access to the Right Tasker Services.
- Utilize any purchased Professional Services within 60 days from the date of purchase, except in cases where delays are directly caused by Right Tasker. Failure to use Professional Services within this timeframe will result in forfeiture of the right to receive them, and any associated fees paid will not be refunded.
- Acknowledge that Right Tasker reserves the right to modify, suspend, or introduce new elements to the Professional Services.

These terms help ensure the smooth provision of Professional Services while maintaining compliance with applicable regulations and data protection laws.

Rescheduling an appointment
Right Tasker has the capability to offer Photography Services, encompassing tasks like capturing images and videos of premises and personnel, crafting panoramic visuals, generating virtual tours (including augmented or virtual reality experiences), and producing associated textual content and materials. These generated materials are referred to as "Developed Materials," and Right Tasker commits to ensuring their delivery within a maximum of five (5) business days.

At its discretion, Right Tasker reserves the option to directly offer Photography Services or involve third-party vendors for this purpose, based on operational considerations.

If you're interested in availing Photography Services, you have the opportunity to initiate the process by submitting a formal request to Right Tasker. This request should outline the specifics of the desired services, including the quantity of photos needed. Subsequently, Right Tasker will issue an Order Confirmation that comprehensively details the specifics of the request. This confirmation will cover elements such as the requested photo quantities, image resolutions, pricing information, and any relevant additional terms. These terms could pertain to the potential involvement of third-party vendors, if applicable to the situation.
Intellectual property in photography services
All Intellectual Property Rights and all other rights pertaining to the intellectual property, creations, products, documentation, information, data, and any other material, whether acquired or generated by Right Tasker for the Partner, commissioned by the Partner, tailored to the Partner's specifications, or conceived or produced in the context of providing the Photography Services ("Developed Materials"), shall remain the property of Right Tasker. The Partner hereby assigns, or undertakes to ensure the assignment to Right Tasker, of all such rights, whether currently existing or to be developed in the future. In cases where moral rights are applicable, the Partner waives, or undertakes to ensure the waiver of, these moral rights.

In the exercise of its absolute discretion, Right Tasker reserves the right to choose which Developed Materials will be incorporated into the Online Partner Profile (or used in relation to the Right Tasker Services). This encompasses decisions regarding the use of some, all, or none of the Developed Materials. Furthermore, Right Tasker holds the authority to determine how these Developed Materials are displayed or utilized on the Online Partner Profile or within the Right Tasker Services. This decision-making process is guided by the goal of maximizing the value of the Partner Services, with a focus on maintaining high-quality Developed Materials.

In line with promoting the Partner's business through the Right Tasker Services, Right Tasker shall grant the Partner permission to utilize the Developed Materials. This usage extends to promotional activities related to the Partner's business and its presence on the Right Tasker platform.
Partner's photoshoot obligations
The Partner has the option to schedule Photography Services through the Right Tasker Services for a designated time slot, referred to as a "Photo Booking." Photo Bookings can be arranged up to three (3) months in advance. To secure a Photo Booking, the Partner is required to make full payment for the Photography Service fee at the time of booking.

It is the Partner's responsibility to provide accurate and reasonable specifications for the Developed Materials and to carefully review them. In cases where the Partner finds any aspect of the Developed Materials unsatisfactory, it must notify Right Tasker (and, if applicable, Right Tasker's third-party vendor) within three (3) Business Days. This communication should include a detailed list or description of the inadequacies, defects, deficiencies, or other issues in the Developed Materials that have led to the rejection. If Right Tasker does not receive a written refusal of the deliverable within the specified three (3) Business Day period, the Deliverable will be considered accepted. Following the Partner's notice of refusal, Right Tasker will have a period of ten (10) Business Days to rectify any issues and provide corrected Developed Materials to the Partner for review and acceptance, as outlined above.

The Partner assumes responsibility for:

 
  • securing any necessary licenses, consents, release forms, permits, or other prerequisites as required;
  • ensuring that the location where the Photography Services will take place is well-maintained, orderly, and appropriately presentable.

To ensure a successful partnership, the Partner is expected to familiarize itself with and adhere to Right Tasker's photography guidelines. These guidelines may undergo updates periodically, and the Partner is encouraged to stay informed about any changes.
Photoshoot cancellation and re-scheduling
The Partner retains the option to cancel or reschedule a Photo Booking, provided that written notice is given at least twenty-four (24) hours prior. Should such a cancellation or rescheduling occur, an additional charge amounting to 50% of the initial Photography Service fee will be applicable. This charge is to be paid before the newly scheduled Photography Service takes place.

The flexibility to cancel or reschedule a Photo Booking is permitted up to two times only. Should the number of cancellations or reschedulings exceed two, an extra charge equivalent to 100% of the initial Photography Service fee will be imposed.

If the Partner makes a cancellation or rescheduling request with less than twenty-four (24) hours prior written notice, the fee for the Photo Booking will not be refunded, and the option to reschedule will not be available.

During a scheduled photo shoot, the Photography Services provider will wait for a representative from the Client's side for a duration of thirty (30) minutes. After the lapse of thirty (30) minutes, the Photography Services provider may depart from the photo shoot location. In such a case, the Partner will not receive a refund for the Photo Booking and will not be permitted to reschedule the booking.

In the event that the Photography Services provider does not appear within thirty (30) minutes of the agreed-upon Photo Booking time, the Partner has the opportunity to arrange for a new Photo Booking at a mutually agreed-upon time without incurring any additional charges.

Right Tasker training services
Upon the Partner's request, either as part of the Professional Services or at any point during their utilization of the Right Tasker Services, Right Tasker holds the capability to provide training sessions to the Partner. These training sessions are designed to enhance the Partner's understanding and utilization of the Right Tasker Services. The details of this training arrangement are outlined as follows:

Right Tasker and the Partner will collaborate to select the appropriate venue(s) for the training, determine the number of training sessions per venue, and establish the training schedule, method, and potential location for conducting the training. However, it is important to note that Right Tasker retains the final authority over these decisions, keeping in alignment with the best practices for training as outlined in the [insert help centre link].
Each individual training session is allotted a duration of up to one (1) hour and can be conducted either virtually or in-person, depending on the mutual agreement between Right Tasker and the Partner. These sessions, referred to as "Training Sessions," aim to provide comprehensive insights into the utilization of the Right Tasker Services.
In cases where the Training Session is not included in the Professional Services package, Right Tasker will inform the Partner about the applicable fee for each session, referred to as the "Training Session fee."
Attendance for each training session is extended to a maximum of ten (10) members of the Partner's staff, unless an alternative arrangement is made in agreement with Right Tasker.
The Partner acknowledges the requirement to adhere to any terms and conditions put forth by third-party providers facilitating the training sessions.
Furthermore, within a span of 45 days from the date of the Partner's acceptance of these Additional Terms: Training, the Partner is obligated to both schedule and participate in a Training Session.
Training cancellation and re-scheduling
The Partner has the option to either cancel or reschedule a Training Session, provided that they provide a written notice at least twenty-four (24) hours in advance. In case of cancellation or rescheduling, an additional charge of 50% of the initial Training Session fee will be incurred by the Partner. This additional fee must be settled before the re-scheduled Training Session takes place.

However, it's important to note that a Training Session may only be cancelled or rescheduled twice. If the Partner attempts to cancel or reschedule a Training Session more than twice, an additional cost equivalent to 100% of the applicable Training Session fee will be imposed.

Should the Partner opt to cancel or reschedule a Training Session with less than twenty-four (24) hours prior written notice, no refund will be issued for the Training Session, and the Partner will not be eligible to reschedule it.

During any Training Session, whether conducted virtually or in-person, the Right Tasker training provider will allow a grace period of thirty (30) minutes for the Partner's staff to join. If, after this period, the Partner's staff has not joined the Training Session, the Right Tasker training provider may conclude the session. In such cases, the Partner will not be entitled to a refund or the opportunity to reschedule the Training Session.

If the Right Tasker training provider does not initiate the Training Session within thirty (30) minutes from the agreed-upon start time, the Partner has the option to reschedule a new Training Session at a mutually agreed-upon time without incurring any additional cost.

Content in Right Tasker services
The terms used in this section, including "data controller," "data processor," "data subject," "personal data," "process," "processing," and "appropriate technical and organizational measures," shall be interpreted in accordance with the relevant Data Protection Legislation.

Both parties shall fulfill their obligations under the applicable Data Protection Legislation, particularly when handling the personal data of Partner Clients.

The utilization of personal data of Partner Clients by the Partner is solely undertaken at its own risk. The Partner is accountable and liable for ensuring that its use of personal data, along with that of its employees, partners, and suppliers, fully adheres to all relevant Data Protection Legislation.

Right Tasker and the Partner each recognize, under the Data Protection Legislation:

 
  • Regarding the personal data of Partner Clients, the Partner acts as the data controller, while Right Tasker serves as the data processor.
  • Regarding the personal data of Right Tasker Clients, both the Partner and Right Tasker function as independent data controllers.

The Partner will indemnify and hold Right Tasker and its Affiliates harmless against any losses, claims, costs, damages, or legal proceedings incurred by Right Tasker and/or its Affiliates due to the Partner's violation of this section related to Content in Right Tasker Services.

This entire section shall continue to apply even after the termination or expiration of this Agreement.
Independent controllers
In situations where Right Tasker and the Partner are considered independent controllers (including regarding each party's direct marketing to Clients) under applicable Data Protection Legislation, both parties acknowledge and agree to the following:

They shall provide assistance, within a reasonable timeframe, to enable the other party to fulfill data subject rights requests (such as requests for access, rectification, restriction, erasure, or data portability) to the extent that such assistance is required from the other party for the fulfillment of such rights. Each party will bear its own costs in providing such assistance.

In case either party receives a request from a data protection authority regarding information pertaining to this Agreement or the relationship between the parties:

 
  • They will promptly notify the other party, unless prohibited by law.
  • They will provide assistance to facilitate compliance with any other queries or complaints from a supervisory authority (as defined in Data Protection Legislation), to the extent possible.

The Partner must notify Right Tasker promptly (within 24 hours of becoming aware) of any accidental or intentional damage, alteration, destruction, unauthorized disclosure, loss, misuse, or theft of the personal data of any Client to which the Partner has access ("Security Incident"). The Partner will cooperate fully and provide timely assistance to Right Tasker in:

a. Investigating, addressing, and mitigating the effects of the Security Incident.
b. Fulfilling notification obligations to individuals, clients, or regulatory authorities.

The Partner, its personnel, and representatives shall not engage in actions or omissions that would cause or reasonably be expected to cause Right Tasker or its Affiliates to violate any provision of Data Protection Legislation. The Partner shall take reasonable steps to ensure the reliability of its employees and agents with access to personal data, inform them of the confidential nature of personal data, and provide relevant training on data protection laws.

The Partner agrees to establish and maintain suitable technical and organizational measures for processing personal data, ensuring compliance with Data Protection Legislation and safeguarding personal data from unauthorized or unlawful processing, accidental loss, destruction, damage, theft, alteration, or disclosure.

The Partner agrees to process Clients' personal data solely for the purpose of providing Partner Services to those Clients. In cases where Clients have explicitly consented to email marketing from the Partner, the data may be used for such marketing. This processing will be limited to the duration of receiving Partner Services.

Regarding the processing of Clients' personal data subject to EU GDPR or UK GDPR, the Partner, its affiliates, or its suppliers shall be fully responsible and liable for ensuring that such processing complies with Data Protection Legislation.
Right Tasker as a data processor
In situations where Right Tasker is considered a data processor for the Partner in relation to Partner Clients' personal data under applicable Data Protection Legislation, the provisions outlined in this "Right Tasker as a Data Processor" section and the Data Processing Addendum shall govern such processing. Right Tasker reserves the right to charge the Partner for any assistance not explicitly mentioned as a service requirement within this Agreement.

The Partner affirms that it will inform each Partner Client about the manner in which Right Tasker will process their personal data. The Partner also commits to promptly updating its website privacy policy or any other relevant literature provided to Partner Clients with any information reasonably requested by Right Tasker. This update aims to facilitate both parties' compliance with Data Protection Legislation.
Right Tasker's rights to access your data
Right Tasker is granted access to the Partner's data, which includes both Clients' personal data (as defined in the Data Processing Addendum) and business-related information (such as the Partner's business license, tax registration, and office address). This access remains valid during and after the duration of this Agreement.

Right Tasker is permitted to share the Partner's data, which includes Clients' personal data, with its payment processing provider(s) and other third parties as specified in the Data Processing Addendum. Additionally, this data may be shared with any potential or actual investor in or buyer of Right Tasker or its assets. Such sharing could also occur to fulfill legal obligations, including situations where a court order or regulatory mandate requires disclosure.

The Partner will also have access to certain data through the Right Tasker Services: (i) Clients' personal data throughout the term of this Agreement, and (ii) Partner Clients' personal data as stipulated in accordance with the Data Processing Addendum.
Right Tasker charges and fees
Upon payment of Service Fees (if applicable), the Partner is authorized to utilize the Right Tasker Services for processing Right Tasker Bookings (or direct bookings made by Partner Clients) of Partner Services exclusively for its own benefit.

The Partner is prohibited from imposing an additional charge on Clients who make bookings or orders through the Right Tasker Platform or Right Tasker Services, unless such surcharge would typically apply to other Partner Clients in the regular course of business. To clarify, the Partner is permitted to offer reduced prices or promotions to Partner Clients as part of its individual promotional activities or loyalty programs. However, passing on Service Fees to Clients who make Right Tasker Bookings is only permissible if allowed by relevant laws.

The Partner must not encourage Clients to make bookings or orders using methods other than the Right Tasker Platform or Right Tasker Services. Essentially, if a Client expresses a preference or intention to book or order through Right Tasker, the Partner should not persuade the Client to proceed differently. Specifically, if a Client places a Right Tasker Booking or Product order and the Partner encourages the Client to cancel it and instead make a separate booking or order directly with the Partner, the Partner would be breaching the Agreement significantly.

Under this agreement, the Partner is strictly prohibited from engaging in any direct or indirect actions aimed at evading the payment of Service Fees. For instance, listing Partner Services as free or with misleadingly low prices (even if accurate pricing information is provided elsewhere), or attempting to deceitfully cancel and rebook a Right Tasker Booking, are activities that the Partner must avoid. Should Right Tasker reasonably suspect such behavior, it reserves the right to withhold and retain any payments owed to the Partner under this Agreement, alongside other available remedies.

If a Partner has opted for Right Tasker Services that are subject to Service Fees and wishes to terminate one or more of those specific services, it must furnish Right Tasker with written notice of cancellation at least 30 days before the intended cancellation date. During the notice period, the Partner will still be liable for any applicable Service Fees.

Right Tasker holds the sole discretion to modify the Service Fees amount and/or the Commission rate at any time. It will provide the Partner with a 45-day advance written notice of such changes through a "Pricing Change Notice." Continued use of the Right Tasker Services after receiving the Pricing Change Notice implies acceptance of the new Service Fee and/or Commission rate. If a Partner does not agree with the modified Service Fees, the only recourse is to discontinue using the Right Tasker Services according to the "Suspending or Terminating Your Access to Right Tasker" section. The updated fees will take effect at the end of the notice period specified in the Pricing Change Notice, unless Right Tasker explicitly states a later effective date.
How we invoice our Partners
Every month, Right Tasker will generate an Invoice Statement for the Partner, encompassing the following particulars:

1. The Opening Balance: This denotes the carried-over balance from the previous Invoice Statement, if applicable. The Opening Balance will be evident in your Right Tasker Wallet statement.

2. Amounts Due to the Partner: The Invoice Statement will present the amount Right Tasker owes the Partner concerning Right Tasker Bookings that involved Online Payments within the period since the last Invoice Statement.

3. Amounts Due to Right Tasker: In relation to Pay Cash In-Store Bookings and any accrued Service Fees accumulated since the preceding Invoice Statement, the statement will showcase the sum the Partner owes Right Tasker.

4. Closing Balance: The Invoice Statement will conclude with the resulting account balance, which signifies the amount either payable by Right Tasker to the Partner or by the Partner to Right Tasker.

Moreover, the Invoice Statement will provide an itemized breakdown of various categories of Right Tasker Bookings and Service Fees. These categories encompass:

- Right Tasker Bookings and Product Orders with Online Payments.
- Pay Cash In-Store Bookings.
- Collections and Service Fees from activities like deposits, cancellations, and no-shows.
- Other Service Fees payable to Right Tasker by the Partner that are not directly tied to a specific Right Tasker Booking payment collection from a Client (e.g., intermittent professional fees payable by the Partner to Right Tasker under additional terms).
How we pay our Partners
Partners will receive payments according to the payout process outlined in the "How do payout work?" section, which considers the balance accumulated in the Partner Account (referred to as the "Current Balance"):

1. Positive Current Balance: If the Current Balance is positive for the specified service period, Right Tasker will transfer the corresponding amount to the Partner on the date indicated within the Right Tasker Business Software. These transfers from Right Tasker to the Partner will be directed to the Partner's designated bank account (the details of which the Partner will supply through the Right Tasker Business Software). The Partner won't need to take any further steps regarding the Current Balance.

2. Negative Current Balance: If the Current Balance reflects a negative value, this signifies that the Partner owes a debt to Right Tasker. In such cases, no payout will be issued to the Partner. If the Current Balance remains negative at the end of the month, the Partner's Credit Card will be charged for the corresponding amount at the month's end.

3. Zero Current Balance: If the Current Balance is zero for the considered period, neither Right Tasker nor the Partner has any financial obligations towards each other for that specific period. In such instances, there is no further action required by either Right Tasker or the Partner concerning that period.
How we collect payments from our Partners
The Partner and Right Tasker mutually acknowledge that all funds collected through the Right Tasker Payment Services are owed to the Partner. As a commercial agent, Right Tasker is restricted from utilizing these funds for any purpose not explicitly specified in this Agreement. The Partner also comprehends and agrees that its utilization of the Right Tasker Payment Services is contingent upon the payment of Service Fees. The Current Balance may either decrease due to debits for Service Fees or increase due to credits granted by Right Tasker, in adherence to the precise and rigorous criteria related to the commercial terms outlined in this Agreement.

Furthermore, both the Partner and Right Tasker acknowledge that when a Client is obligated to make a payment to the Partner, and the Client completes the payment to Right Tasker (via the Payment Processor), the obligation to pay is considered fulfilled upon Right Tasker's receipt of the payment through the Payment Processor, as determined between the Client and the Partner. In such instances, the Partner acknowledges its agreement not to directly request payment from the Client. Any subsequent distribution of sums collected by Right Tasker and due to the Partner will strictly be contingent on the Partner having duly provided the Partner Services in accordance with a Right Tasker Booking as per the terms of this Agreement. Upon meeting this preceding condition, the onward payment of any remaining balance will be determined and payable by either Right Tasker or the Partner, as specified earlier in this section.
In the case of applicable debits and credits
The lists detailing applicable debits and credits are comprehensive; both Right Tasker and its Payment Processors are only authorized to perform debits or credits on funds owed to Partners in accordance with the explicit scenarios outlined above. Invoices generated by Right Tasker and furnished to Partners will provide a breakdown of each adjustment to the Current Balance along with the corresponding rationale for the adjustment. If multiple reasons are applicable, a single justification will be provided.

Occasionally, Right Tasker may exercise its discretion to grant complimentary 'Right Tasker credits' to the Partner, referred to as "Credits." Right Tasker will inform the Partner of any allocation of free Credits through the Right Tasker Wallet, and the Partner will have visibility into the total accumulated remaining free Credits in the Right Tasker Wallet. These free Credits can be utilized by the Partner as payment for specific services offered by Right Tasker, as communicated by Right Tasker to the Partner via the Right Tasker Services periodically. It's important to note that free Credits hold no value outside the Right Tasker Services, are non-transferable, and are not convertible to cash, currency exchange, or chargebacks. Their validity is tied to the Partner's use of the Right Tasker Services, or as indicated by Right Tasker through notifications.

At any point, Right Tasker retains the authority to declare that certain portions of the Right Tasker Services (including specific Additional Services) are ineligible for payment using free Credits. Additionally, Right Tasker may decide to discontinue free Credits without prior notice and may revoke any outstanding free Credits held by a Partner that have not been applied towards any Service Fee.
Applicable debits (further "Service fees") include:
Booking Fee
Service Fees owed to Right Tasker for provision of the Right Tasker Booking Services and/or the Right Tasker Payment Services, as applicable;

Payment Fee
Service Fees owed to Right Tasker for the Partner's use of the Right Tasker Payment Services;

New client fee
Service Fees owed to Right Tasker by the Partner for each new Client referred to the Partner by the Right Tasker Platform.

Messaging and marketing fees (excluding Automated Messages which are paid for in advance at the time of purchase)
Service Fees owed to Right Tasker by the Partner in exchange for Messaging and Marketing Services.

Terminal fee
Service Fees owed to Right Tasker by the Partner in exchange for Terminals or other payment hardware.

Professional Services
Service Fees owed to Right Tasker by the Partner in exchange for Professional Services.

Photography fee
Service Fees owed to Right Tasker by the Partner in exchange for Photography services.

Chargeback
Service Fees imposed by Right Tasker as a result of loss Chargebacks related to the Partner's use of the Right Tasker Payment Services;

Chargeback fee
Service Fees imposed by Right Tasker as a result of additional penalties from Chargebacks beyond the amount of loss;

Foreign exchange fee
Service Fees owed to Right Tasker by the Partner in exchange for foreign exchange fees incurred by the Partner via the Right Tasker Payment Services.

Other fees
Any other Service Fees owed to Right Tasker by the Partner in exchange for additional services in accordance with the applicable additional terms.
Applicable credits include:
Payment failure
Credits owed by Right Tasker to a Partner to correct for failed payments;

Bonus
Credits owed by Right Tasker to a Partner for bonuses granted by Right Tasker;

Refund
Credits owed by Right Tasker to a Partner as a refund for Service Fees;

Credit
Credits owed by Right Tasker to a Partner as a credit or grant towards future Service Fees;

Compensation
Credits owed by Right Tasker to a Partner for other types of compensation.
How Partners can settle their Right Tasker invoices
The Partner is required to fulfill all payment obligations to Right Tasker using the Partner Credit Card, without making any deductions, such as set-offs, withholdings, counterclaims, discounts, or any other deductions. If any amount owed by the Partner to Right Tasker under these terms is not settled on or before the designated payment deadline, the following actions shall occur:

(i) All outstanding amounts owed by the Partner to Right Tasker will immediately become due and payable;

(ii) The Partner will be held accountable for any refunds, chargebacks, banking charges, or other administrative expenses (referred to as "Bank Charges") incurred by Right Tasker due to the Partner's delayed payment; and

(iii) Without prejudice to any other available rights or remedies, Right Tasker shall be entitled to:
  • Offset any amounts payable by the Partner to Right Tasker and any relevant Bank Charges from any balance directly or indirectly collected by or on behalf of Right Tasker on behalf of the Partner, prior to making onward payment of the Current Balance to the Partner;
  • Suspend or terminate the provision of Right Tasker Services and this Agreement, including deactivating the Online Partner Profile or access to the Right Tasker Platform or Right Tasker Widget, until mutually acceptable arrangements for payment or credit have been established;
  • Impose upon the Partner the expense incurred in obtaining judgment or payment, including all reasonable professional costs (including legal fees) and any other costs related to initiating legal proceedings or pursuing a debt recovery process.
Payment methods
All payments owed from Right Tasker to the Partner will be transferred through bank transfer using the bank details that the Partner has provided to Right Tasker via the Right Tasker Business Software (as also indicated in the Invoice Statement). It remains the Partner's responsibility to ensure the accuracy of these details. Right Tasker will exclusively make payments directly to the Partner and cannot process payments to any third party. The Partner undertakes to fully indemnify Right Tasker and shield Right Tasker from any losses, damages, or claims that may arise due to the Partner's failure to notify Right Tasker of any changes to the bank account details, which includes potential Bank Charges incurred by Right Tasker.

In the event of a dispute arising between Right Tasker and the Partner, any uncontested Service Fees will be paid to Right Tasker in line with the provisions outlined in this Payment Methods section. The Partner is required to inform Right Tasker of its disagreement within 10 days of receiving the Invoice Statement, providing a detailed explanation of the grounds for dispute. Should the Partner fail to do so, the Invoice Statement will be deemed accepted by the Partner.

It is the Partner's duty to withhold, report, and remit the appropriate taxes related to the Service Fees in compliance with all relevant laws and the directives of the respective tax authorities. This includes addressing any interest and penalties that may arise from late payments or failure to withhold taxes. If necessary, the Partner is solely accountable for reaching an agreement with the relevant tax authorities regarding the tax treatment of the Service Fees. Upon Right Tasker's request, the Partner must provide copies of tax payment certificates and/or tax exemption certificates. The Partner affirms and guarantees that it is duly registered with all pertinent tax authorities, where applicable.
Dashbord
What we promise you and what you promise us
Right Tasker retains the option to offer technical support to assist the Partner in utilizing the Right Tasker Services through email or other means of its choosing. Unless otherwise agreed upon in writing with Right Tasker, Partners are not inherently entitled to technical support.

Right Tasker ensures that the provision of the Right Tasker Services will be carried out with reasonable care and skill and will substantially adhere to any description of the service provided in this Agreement or otherwise accessible through Right Tasker on an ongoing basis.

Except for the explicit warranties detailed in this agreement, no implicit conditions, warranties, or other terms, including those relating to satisfactory quality or fitness for specific purposes, will apply to the Right Tasker Services (including the Right Tasker Business Software) or any provisions furnished by Right Tasker under this agreement. Particularly, Right Tasker does not guarantee:

that the Right Tasker Services will satisfy the particular requirements of the Partner;
that the quality of any products, services, information, or other materials obtained by the Partner through the Right Tasker Services will meet their expectations or needs;
that the Right Tasker Services will be uninterrupted, punctual, secure, free from contaminants, or devoid of errors;
that any information or outcomes derived from using the Right Tasker Services will be precise or reliable; or
that any errors present in the Right Tasker Services will be rectified.
As a Partner you consent
The Partner acknowledges and agrees with the following:
 
  • Right Tasker relies on third-party vendors and hosting partners to supply the necessary hardware, software, networking, storage, and related technology to support the operation of the Right Tasker Business Software, the Right Tasker Platform (including the Online Partner Profile), and the Right Tasker Widget.
  • Right Tasker is granted administrative access to all components of the Right Tasker Business Software.
  • Right Tasker employs third-party tools (like Google Analytics) to monitor the usage of the Right Tasker Business Software by the Partner and their staff. This monitoring encompasses all user interactions, including (a) technical specifics of the browser and device being used, (b) appointment creation, (c) employee management, and (d) calendar viewing. This tracking assists Right Tasker in comprehending how Partners utilize the Right Tasker Business Software and facilitates its ongoing enhancement. It is the Partner's responsibility to notify their employees about this tracking, which can be achieved by directing their attention to the information about tracking in Right Tasker's Privacy and Cookie Policy.

It's important to note that free Credits hold no value outside the Right Tasker Services, are non-transferable, and are not convertible to cash, currency exchange, or chargebacks. Their validity is tied to the Partner's use of the Right Tasker Services, or as indicated by Right Tasker through notifications.

At any point, Right Tasker retains the authority to declare that certain portions of the Right Tasker Services (including specific Additional Services) are ineligible for payment using free Credits. Additionally, Right Tasker may decide to discontinue free Credits without prior notice and may revoke any outstanding free Credits held by a Partner that have not been applied towards any Service Fee.
Applicable debits (further "Service fees") include:
Booking Fee
Service Fees owed to Right Tasker for provision of the Right Tasker Booking Services and/or the Right Tasker Payment Services, as applicable;

Payment Fee
Service Fees owed to Right Tasker for the Partner's use of the Right Tasker Payment Services;

New client fee
Service Fees owed to Right Tasker by the Partner for each new Client referred to the Partner by the Right Tasker Platform.

Messaging and marketing fees (excluding Automated Messages which are paid for in advance at the time of purchase)
Service Fees owed to Right Tasker by the Partner in exchange for Messaging and Marketing Services.

Terminal fee
Service Fees owed to Right Tasker by the Partner in exchange for Terminals or other payment hardware.

Professional Services
Service Fees owed to Right Tasker by the Partner in exchange for Professional Services.

Photography fee
Service Fees owed to Right Tasker by the Partner in exchange for Photography services.

Chargeback
Service Fees imposed by Right Tasker as a result of loss Chargebacks related to the Partner's use of the Right Tasker Payment Services;

Chargeback fee
Service Fees imposed by Right Tasker as a result of additional penalties from Chargebacks beyond the amount of loss;

Foreign exchange fee
Service Fees owed to Right Tasker by the Partner in exchange for foreign exchange fees incurred by the Partner via the Right Tasker Payment Services.

Other fees
Any other Service Fees owed to Right Tasker by the Partner in exchange for additional services in accordance with the applicable additional terms.
Applicable credits include:
Payment failure
Credits owed by Right Tasker to a Partner to correct for failed payments;

Bonus
Credits owed by Right Tasker to a Partner for bonuses granted by Right Tasker;

Refund
Credits owed by Right Tasker to a Partner as a refund for Service Fees;

Credit
Credits owed by Right Tasker to a Partner as a credit or grant towards future Service Fees;

Compensation
Credits owed by Right Tasker to a Partner for other types of compensation.
How Partners can settle their Right Tasker invoices
The Partner is required to fulfill all payment obligations to Right Tasker using the Partner Credit Card, without making any deductions, such as set-offs, withholdings, counterclaims, discounts, or any other deductions. If any amount owed by the Partner to Right Tasker under these terms is not settled on or before the designated payment deadline, the following actions shall occur:

(i) All outstanding amounts owed by the Partner to Right Tasker will immediately become due and payable;

(ii) The Partner will be held accountable for any refunds, chargebacks, banking charges, or other administrative expenses (referred to as "Bank Charges") incurred by Right Tasker due to the Partner's delayed payment; and

(iii) Without prejudice to any other available rights or remedies, Right Tasker shall be entitled to:
  • Offset any amounts payable by the Partner to Right Tasker and any relevant Bank Charges from any balance directly or indirectly collected by or on behalf of Right Tasker on behalf of the Partner, prior to making onward payment of the Current Balance to the Partner;
  • Suspend or terminate the provision of Right Tasker Services and this Agreement, including deactivating the Online Partner Profile or access to the Right Tasker Platform or Right Tasker Widget, until mutually acceptable arrangements for payment or credit have been established;
  • Impose upon the Partner the expense incurred in obtaining judgment or payment, including all reasonable professional costs (including legal fees) and any other costs related to initiating legal proceedings or pursuing a debt recovery process.
Payment methods
All payments owed from Right Tasker to the Partner will be transferred through bank transfer using the bank details that the Partner has provided to Right Tasker via the Right Tasker Business Software (as also indicated in the Invoice Statement). It remains the Partner's responsibility to ensure the accuracy of these details. Right Tasker will exclusively make payments directly to the Partner and cannot process payments to any third party. The Partner undertakes to fully indemnify Right Tasker and shield Right Tasker from any losses, damages, or claims that may arise due to the Partner's failure to notify Right Tasker of any changes to the bank account details, which includes potential Bank Charges incurred by Right Tasker.

In the event of a dispute arising between Right Tasker and the Partner, any uncontested Service Fees will be paid to Right Tasker in line with the provisions outlined in this Payment Methods section. The Partner is required to inform Right Tasker of its disagreement within 10 days of receiving the Invoice Statement, providing a detailed explanation of the grounds for dispute. Should the Partner fail to do so, the Invoice Statement will be deemed accepted by the Partner.

It is the Partner's duty to withhold, report, and remit the appropriate taxes related to the Service Fees in compliance with all relevant laws and the directives of the respective tax authorities. This includes addressing any interest and penalties that may arise from late payments or failure to withhold taxes. If necessary, the Partner is solely accountable for reaching an agreement with the relevant tax authorities regarding the tax treatment of the Service Fees. Upon Right Tasker's request, the Partner must provide copies of tax payment certificates and/or tax exemption certificates. The Partner affirms and guarantees that it is duly registered with all pertinent tax authorities, where applicable.
As a Partner you warrant
As a Partner entering into this Agreement, you confirm and guarantee that:

1. You will not promote or offer through the Right Tasker Booking Services (i) medication, including prescription-only drugs (including botulinum toxin injections) or any medication licensed by the Medicines and Healthcare products Regulatory Agency (or, for products in Northern Ireland, the European Commission), (ii) any regulated procedure, process, or activity under applicable law without obtaining Right Tasker's prior express consent, or (iii) any other Partner Services that do not comply with applicable law.

2. Your business is not involved in any Prohibited Businesses.

3. Any content you provide to Right Tasker in connection with this Agreement and/or publish (or provide to Right Tasker for publication) on your Online Partner Profile, Partner Store, Messaging and Marketing Services, or anywhere else on the Right Tasker Platform will be materially accurate and will not infringe upon anyone else's rights (including Intellectual Property Rights), nor be defamatory, illegal, offensive, threatening, or pornographic, or otherwise fall below general standards of taste and decency.

4. You will abide by all relevant laws and advertising regulations when marketing, selling, and offering Partner Services. You will obtain all necessary licenses, consents, permissions, qualifications, and insurance that are either necessary or reasonably prudent for your business activities and personnel, especially regarding the provision of Partner Services.

5. Any Comprehensive Data you provide to Right Tasker is complete, up-to-date, de-duplicated, and accurate, and is provided to Right Tasker (including granting access) in accordance with applicable law. This provision or access will not breach any other agreement.

6. You adhere to applicable Data Protection laws, including providing Clients and your staff with all necessary transparency information about how both you and Right Tasker process personal information.

7. You are at least eighteen (18) years old.

8. You are either:
- A sole proprietor managing a legally registered local business, or
- An authorized signatory of your duly incorporated business.

9. You are eligible to register and utilize the Right Tasker Services and possess the right, authority, and capability to enter into and fulfill this Agreement.

10. The name you used during registration is your name or the business name under which you offer goods and services.

11. All sales transactions you initiate will accurately describe the products and/or services sold and provided to a Client.

12. Both you and transactions initiated by you will comply with all applicable federal, state, and local laws, regulations, and rules relevant to your business, including tax laws and regulations.

13. You are not involved in any Prohibited Businesses.

14. Any sales transaction submitted by you through the POS Features will genuinely represent a sale by you.

15. Except for regular business activities, no sales transaction submitted by you through the POS Features or the Right Tasker Payment Services will represent a sale to any principal, partner, proprietor, or owner of your entity.

16. You will not use the Right Tasker Payment Services, directly or indirectly, for fraudulent activities or to disrupt any aspect of the Right Tasker Booking Services.

In case of concerns or disputes
Our right to remove online Partner profiles
We reserve the right to deactivate your Online Partner Profile on the Right Tasker Platform if we determine, at our sole discretion:

1. You are in violation of applicable laws, including local statutes, regulatory requirements, or guidance, or if you fail to adhere to this Agreement, Right Tasker's policies, standards, or a court order.
2. Your use of the Right Tasker Services may cause harm or objection to Right Tasker, Clients, or third parties.
3. You have a significant number of cancelled appointments or unfulfilled orders through the Right Tasker Business Software.
4. You consistently receive low or negative Client ratings, or if your responses to such ratings are unprofessional.
5. Your business is not suitable for the Right Tasker Platform.

In the event that you fail to fulfill any of the obligations outlined above, you will be deemed to be in a substantial breach of this Agreement, and you might lose any payments associated with that Right Tasker Booking.

When we exercise our right to deactivate Online Partner Profiles under this section, your access to and privileges from the Right Tasker Widget may also be revoked.
Suspending or terminating your access to Right Tasker
This Agreement starts on the Effective Date and remains in effect unless terminated in writing with at least 30 days' notice by either party.

Either party can terminate this Agreement immediately by providing written notice to the other party if:

1. The other party commits a significant breach of any provision in this Agreement. If the breach cannot be fixed, or if it is fixable but the party doesn't remedy it within 30 days after receiving written notice explaining the breach, termination can occur.

2. The other party is persistently breaching the Agreement, even if the breaches are not significant.

3. The other party:
  • Becomes insolvent
  • Enters into an arrangement with its creditors
  • Has an encumbrancer take control of its assets
  • Is put under receivership or administration
  • Is ordered or effectively resolved to go into liquidation, winding-up, or a similar process
  • Applies for or receives a moratorium under the Insolvency Act 1986
  • Experiences similar events under the law of any jurisdiction

4. The other party ceases or threatens to cease its business operations.

In order for a breach to be capable of remedy, there must be steps that can be taken to restore the situation to what it would have been if the breach never happened.

Terminating this Agreement, regardless of how it happens, will not affect the rights and remedies that the parties have already accrued up to the termination date.
Confidentiality
Both parties recognize that, whether due to this Agreement or other circumstances, they might receive or become aware of proprietary and confidential information about the other party. This information, referred to as "Confidential Information," may pertain to marketing plans, clients, business strategies, finances, technology, or other affairs.

Each party commits to:

1. Always maintain the confidentiality of Confidential Information.
2. Keep Confidential Information secure and protected against theft, loss, damage, or unauthorized access.
3. Not directly or indirectly use, disclose, copy, exploit, or modify Confidential Information without prior written consent, except for the purpose of fulfilling their obligations under this Agreement.

The obligations in this Confidentiality section won't apply to Confidential Information that:

1. Was already public knowledge when received.
2. Becomes public without the recipient's fault.
3. Is received from a third party without any restrictions.
4. Was known by the recipient before receiving it under this Agreement.

The recipient is allowed to share Confidential Information with their professional advisers or if required by law, regulations, or competent authorities. This Confidentiality section will continue even after the termination or expiry of this Agreement.
Our liability
This Agreement does not exclude or limit either party's liability for:

1. Death or personal injury caused by its negligence.
2. Fraudulent misrepresentation or any other fraudulent act or omission.
3. Paying sums that are rightfully due in the normal course of performing this Agreement.
4. Any other liability that cannot be lawfully excluded or limited.

To the fullest extent permitted by applicable law, Right Tasker is not responsible for the quality, safety, or fulfillment of products or services offered through the Right Tasker Booking Services or Right Tasker Store. The Partner is accountable for the Partner Services provided to Clients. More details about Right Tasker's liability to the Partner can be found in the Indemnity section of this Agreement.

Apart from the first paragraph of this Our liability section, Right Tasker will not be liable (whether due to contract breach, tort, negligence, breach of statutory duty, or any other cause) for any:

1. Loss of income or profits.
2. Loss of sales, turnover, revenue, business, or opportunities.
3. Loss of customers, contracts, or opportunities.
4. Damage to reputation or goodwill.
5. Loss of anticipated savings.
6. Loss or damage to hardware, software, or data.
7. Loss or waste of management or staff time.
8. Other intangible losses.
9. Any indirect, consequential, or special loss or damage, regardless of how it arises and whether caused by negligence or other factors related to this Agreement.

Subject to the first paragraph of this Our liability section, the Partner specifically understands and agrees that, regarding its use of the Right Tasker Business Software, Right Tasker Platform, Partner Store functionality, Right Tasker Widget, Professional Services, and/or Online Partner Profile, Right Tasker will not be liable (whether in contract, tort, negligence, breach of statutory duty, or otherwise) for any loss, damage, expense, or liability resulting from:

1. The Partner's use or inability to use the mentioned services (except for their normal intended purpose).
2. Unauthorized access to or alteration of the Partner's transmissions or data.
3. Statements or actions of any third party on the mentioned services.
4. Adaptation or modification of the mentioned services without Right Tasker's express written consent.
5. Any other matter related to the mentioned services.

Subject to the first and second paragraphs of this Our liability section:

1. Right Tasker's maximum aggregate liability under or in connection with this Agreement, whether in contract, tort, or otherwise, shall not exceed USD $100 (or the equivalent in local currency).
2. Right Tasker's maximum aggregate liability under or in connection with any Additional Service shall not exceed the fee paid or payable by the Partner for that Additional Service.
Our liability – Right Tasker messaging and marketing services
Without undermining the liability provisions stated earlier in these Terms, the Partner acknowledges and agrees that concerning its use of the Right Tasker Marketing Services, Right Tasker will not be liable (whether in contract, tort, negligence, breach of statutory duty, or otherwise) for any loss, damage, expense, or liability (even if the Partner has informed Right Tasker of the possibility of such loss or damage) arising from:

1. The Partner's use or inability to use the Messaging and Marketing Services (except for their normal intended purpose).
2. Any incorrect or unintended content or information provided by the Partner to Clients through the Marketing Services.
3. The Partner's failure to comply with applicable Data Protection Legislation.
4. Any defects in the Messaging and Marketing Services resulting from misuse, intentional damage, negligence by anyone other than Right Tasker, abnormal operating conditions, or the Partner's failure to follow Right Tasker's usage instructions.
5. Any adaptation or modification of the Messaging and Marketing Services, or integration or combination with other equipment, software, products, or materials not provided by Right Tasker, carried out by someone other than Right Tasker or without Right Tasker's express written consent.
6. Any other matter related to the Messaging and Marketing Services.

Subject to the paragraph above in this Our liability – Right Tasker Messaging and Marketing Services section and without prejudice to the liability provisions in these Terms, Right Tasker's maximum aggregate liability in connection with the Messaging and Marketing Services, whether due to contract, tort, or other causes, will not exceed the fee paid or payable by the Partner for the Messaging and Marketing Services.
Our liability – data migration
Right Tasker holds no responsibility for any loss of, damage to, corruption, or any other form of personal data breach in relation to data migrated by the Partner, whether based on the Partner's instructions or otherwise as part of the Professional Services.

The Partner acknowledges that it bears full responsibility and liability for the accuracy, completeness, and legality of any data it provides in connection with the Professional Services. The Partner also acknowledges its accountability for any potential or actual taxation liabilities and/or regulatory penalties arising from Right Tasker's use of or access to such data.

The entirety of this Our liability section shall remain applicable and in force even after the termination or expiration of this Agreement.
Intellectual property rights
This agreement does not result in the transfer of ownership of any party's Intellectual Property Rights to the other party, except as stated in the third paragraph of this Intellectual Property Rights section.

Right Tasker and/or its licensors will continue to hold ownership of all Intellectual Property Rights associated with Right Tasker's brands, trademarks, logos, and the Right Tasker Services (including the Right Tasker Platform, the Right Tasker Widget, and Online Partner Profile, excluding Partner Content). The Partner cannot use any of Right Tasker's Intellectual Property Rights without obtaining prior written consent from Right Tasker, except as allowed by or required under this Agreement.

The Partner acknowledges that ownership of Intellectual Property Rights related to Clients' feedback and Clients' personal data within the Right Tasker Business Software (including any database rights) belongs to Right Tasker. The Partner unequivocally and unconditionally assigns all such rights to Right Tasker with full title guarantee. Right Tasker provides the Partner with a worldwide, royalty-free, non-exclusive license to use these Intellectual Property Rights to run its business, contingent upon the Partner's continued adherence to this Agreement's provisions.

The Partner is responsible for promptly reporting any improper or unauthorized use of Right Tasker's Intellectual Property Rights that it becomes aware of. The Partner is required to assist Right Tasker in defending its Intellectual Property Rights and refrain from initiating legal actions on its own.

As for Partner Content, the Partner and/or its licensors will retain ownership of all Intellectual Property Rights related to it.
Indemnity
The Partner agrees to indemnify, defend, and hold Right Tasker, its officers, directors, and employees harmless from and against any and all claims, demands, obligations, causes of action, lawsuits, damages, liabilities, fines, judgments, costs (including settlement costs), expenses, and losses (including direct, indirect, or consequential losses, loss of profit, loss of reputation, interest, penalties, legal costs on a full indemnity basis, and other professional costs) arising from any breach by the Partner of the terms of this Agreement. This indemnification also covers actions brought by third parties related to the Partner Services provided or not provided, actions or failures to act of the Partner or anyone acting on its behalf (excluding Right Tasker), including actions related to engaging in Prohibited Businesses, Data Protection Legislation, Intellectual Property Rights, or interactions between Clients and the Partner's business premises.

The Partner acknowledges that Right Tasker is entering into this Agreement not only for its own benefit but also as an agent for the benefit of its officers, directors, and employees (referred to as "Indemnified Third Parties"). The indemnification rights and benefits outlined in this Indemnity section extend to each Indemnified Third Party, as if they were parties to this Agreement themselves. Right Tasker acts as an agent to enforce these rights on behalf of each Indemnified Third Party. However, the Partner and Right Tasker can agree in writing to amend any provision of this Agreement without the consent of any Indemnified Third Party, even if such an amendment affects the rights granted to them under this section.

The provisions of this Indemnity section will remain in effect even after the termination or expiration of this Agreement.
Miscellaneous
Consent to Communication
Right Tasker reserves the right to communicate with the Partner through various means, including email, telephone, SMS, or WhatsApp, using the contact information provided by the Partner on the Right Tasker Business Software. This communication may pertain to matters related to Right Tasker Bookings, inquiries about Right Tasker Services, or any other relevant topics concerning both Right Tasker Services and the Partner Services.

Change of Control

If there is a change of control or a change to the senior management of the Partner's business, the Partner is required to make the new owner or manager aware of the existence and terms of this Agreement. Additionally, the Partner must inform Right Tasker about the contact details of the new personnel who have taken over the relevant positions in the Partner's organization. This ensures that Right Tasker is kept informed of any changes that may impact the execution of this Agreement.

Notices
Any notice, invoice, or other communication that either party needs to provide to the other party as per the requirements of this Agreement will be considered appropriately served if it is sent to the address specified in this Agreement (or any other address that has been officially communicated in writing or by email). Notices sent by registered post or recorded delivery will be considered served three Business Days after the day of posting. For all other cases, notices will be deemed served on the day they are received by the receiving party.

Amendments
We reserve the right to update and modify these terms and conditions periodically to account for shifts in market conditions impacting our operations, advancements in technology, modifications in payment methods, alterations in relevant laws and regulations, and enhancements in our system's functionalities. Therefore, we encourage you to regularly review our terms to stay informed of any changes.

Nature of relationship
The parties in this Agreement maintain an independent contractor relationship, operating as separate entities without any special or close ties. Unless explicitly stated otherwise in this Agreement, the provisions herein shall not establish a partnership or joint venture between the parties, designate one party as the agent of the other, or confer any authority upon either party to bind the other through commitments, liabilities, or credit. Neither party should act or imply that it acts as an agent of the other or holds such authority unless expressly provided in this Agreement.

Successors and assignees
The Partner is not permitted to assign, transfer, charge, subcontract, or engage in any other form of dealing involving any portion or the entirety of this Agreement without obtaining the prior written consent of Right Tasker. Such consent shall not be unreasonably withheld, conditioned, or delayed.

Rights of third-parties
A third party who is not a party to this Agreement does not possess the right to enforce any term, or exercise any rights, under or in relation to this Agreement, whether under the Contracts (Rights of Third Parties) Act 1999 or through any other means.

Non-waiver of rights
The fact that either party does not enforce or exercise any term or right under this Agreement at any given time or for any specific period of time does not imply a waiver of that term or right. It does not affect the party's ability to enforce or exercise that term or right at a later point.

No bribery
Both parties must adhere to the terms of the Bribery Act 2010 during pre-contract negotiations and throughout the execution of their rights and obligations under this agreement. They must ensure compliance with the Act and refrain from engaging in any actions that would breach its provisions or facilitate such breaches.

Severability
If any provision of this Agreement is determined to be unlawful, invalid, or unenforceable under the laws of any jurisdiction, the provision will be considered removed from the Agreement to the extent necessary to make it compliant with the law. The remaining terms of the Agreement will continue to be valid and enforceable.

Entire agreement
This Agreement encompasses all the mutually agreed-upon terms between the parties concerning the subject matter and replaces any previous agreements, understandings, or arrangements between them, whether expressed orally or in writing. Except for fraudulent misrepresentations, no additional representations or terms will be applicable or considered as part of this Agreement.

Settling disputes, governing law, and courts
This Agreement shall be governed by and construed in accordance with the laws of England. The parties hereby submit to the exclusive jurisdiction of the English courts to resolve any disputes arising from this Agreement.

In this agreement, the meanings of the following words and expressions are as follows:

- "Additional Service": refers to any optional service that Right Tasker may offer to a Partner periodically, which the Partner selects through the Help Centre.

- "Additional Terms": denotes the terms applicable to any Additional Service, considered as incorporated and forming a part of this Agreement.

- "Affiliate": in relation to Right Tasker, signifies any entity that at any point directly or indirectly exercises control over, is controlled by, or is under common control with Right Tasker.

- "Agreement" or "Partner Terms of Business": pertains to this agreement, which includes all its schedules, appendices, annexes, and other attached or referenced documents, including any Additional Terms. It outlines the terms and conditions under which Right Tasker provides Right Tasker Services to the Partner, effective from the Effective Date.

- "Business Day": refers to a day that isn't a Saturday, Sunday, or public holiday in Right Tasker's relevant jurisdiction, when banks are operational.

- "Cancellation Period": carries the meaning outlined in the How to handle cancellation of Appointments section of these Terms.

- "Cancellation Policy": signifies a policy included in the Partner's Partner Terms of Sale of a Right Tasker Booking, which permits charging a Client (via the Right Tasker Payment Services) a specific fee for a cancelled Right Tasker Booking.

- "Client Sale": holds the definition given in the Right Tasker Store section.

- "Closing Balance": interprets the concept provided in the How we invoice our Partners section of these Terms.

- "Commission": acquires the meaning laid out in the Right Tasker Store section.

- "Comprehensive Data": denotes the subsequent information: Partner Client list, upcoming Client appointments, service list setup (including paid plans), consultation forms, standard Partner Vouchers, product catalogue, inventory, images, and PDFs, as further detailed by Right Tasker in the Help Centre.

- “Comprehensive Data Migration”: pertains to the services described in the Comprehensive Data Migration section of the help centre, subject to periodic amendments.

- “Concierge Services”: encompasses the services outlined in the Concierge Services section of the help centre, subject to revisions.

- "Confidential Information": signifies the understanding within the Confidentiality section of this Agreement.

- "Current Balance": signifies the understanding within the How we pay our Partners section of these Terms.

- "Client": encompasses both Right Tasker Clients and Partner Clients.

- "Data Protection Legislation": refers to all data protection, privacy, and direct marketing laws applicable in relevant jurisdictions. This includes laws like the EU GDPR, UK GDPR, PECR, and TCPA, as specified, along with regulations implemented or made pursuant to them.

- "Deposit Policy": stands for a policy included in the Partner Terms of Sale of a Right Tasker Booking, allowing a Partner to request that the Client (via the Right Tasker Payment Services) purchase a Partner Credit for up to 100% of the Right Tasker Booking or Product order value as a "Deposit" at booking time.

- "Developed Materials": corresponds to the meaning attributed to it in the Intellectual property in Photography Services section.

- "Dispatch": holds the interpretation assigned in the Right Tasker Store section.

- "Effective Date": refers to the earliest of the following: (a) the initiation of the Partner's receipt of Right Tasker Services, (b) the date when the Partner confirms acceptance of this Agreement on the Right Tasker Business Software, or (c) the date of any other agreement signed by the Partner concerning Right Tasker Services.

- "Right Tasker Booking Services": covers all appointment booking activities, including appointment creation, adjustments, rescheduling, and cancellations, in addition to any reviewing platform facilitated through the Right Tasker Platform and/or the Right Tasker Widget.

- "Right Tasker Booking with Online Payment": designates a Right Tasker Booking where the Right Tasker Payment Services are used by the Client during booking, excluding Pay Cash In-Store Bookings.

This entails the Client choosing a time/date to receive the Partner Services. It encompasses both Right Tasker Bookings with Online Payments and Pay Cash In-Store Bookings.

- "Right Tasker Business Software": refers to the application accessible via https://partners.Right Tasker.com and the Right Tasker app on iOS and Android.

- "Right Tasker Client": represents a client who books Partner Services through the Right Tasker Booking Services.

- "Right Tasker Payment Services": encompasses (a) any online and in-app payment mechanism of the Right Tasker Business Software, Right Tasker Platform, and Right Tasker Widget, and/or (b) payment services accessible through hardware devices supplied by Right Tasker.

- "Right Tasker Platform": comprises (a) the website Right Tasker.com (our "Site"), (b) the mobile app published on the Apple Store and Google Play Store (our "App"), and (c) the web interface provided by Right Tasker, embeddable on Partner websites or social media channels (the "Right Tasker Widget").

- "Right Tasker Services": embodies the services Right Tasker offers under this Agreement in exchange for Service Fees. This may involve access to the Right Tasker Business Software, Online Partner Profile, Right Tasker Booking Services, Right Tasker Platform, and/or Right Tasker Widget (including receipt of Right Tasker Bookings).

- "Right Tasker Wallet": signifies an area within the Business Software enabling Partners to access information related to Right Tasker service fees, payments, collections, and Credits.

- "Right Tasker Widget": refers to the web interface provided by Right Tasker, which Partners can embed on their own websites or social media channels, enabling Clients to book Partner Services online.

- "Right Tasker," "we," or "us": holds the meaning defined earlier.

- "Help Centre": pertains to the place where detailed information about products and their usage is provided. It can be accessed at https://support.Right Tasker.com and through the Right Tasker app on IOS and Android.

- "Intellectual Property Rights": encapsulates all intellectual property rights worldwide, existing or

contingent, including copyright, design rights, database rights, domain names, patents, trademarks, and other similar rights, registered or unregistered, including applications and extensions.

- "Invoice Statement": signifies the concept within the How we invoice our Partners section of these Terms.

- "Marketing Services": refers to the meaning ascribed in the Right Tasker Messaging and Marketing Services section.

- "No-Show Policy": encompasses a policy incorporated in the Partner Terms of Sale of a Right Tasker Booking, allowing charging a Client (via the Right Tasker Payment Services) a specific fee for a no-show Right Tasker Booking.

- "Online Partner Profile": denotes a customizable website powered by the Right Tasker Business Software, accessible via the Right Tasker Website. It's offered as part of Right Tasker Services and features a "Book Now" button connecting Clients to Partner Services.

- "Opening Balance": corresponds to the meaning assigned in the How we invoice our Partners section of these Right Tasker Terms.

- "Order Confirmation": signifies the confirmation Right Tasker provides to the Partner for any purchase of additional services.

- "Partner", "you," and "your": refer to the entity offering goods and services for sale on the Right Tasker Platform or Right Tasker Widget as per this Agreement.

- "Partner Account": represents an account on the Right Tasker Business Software owned by a specific Partner, accessible to the Partner's staff, owners, and others.

- "Partner Content": denotes any material provided by or on behalf of the Partner to Right Tasker for integration into the Right Tasker Booking Services, Right Tasker Business Software, or other Partner services. It excludes Partner Client Data.

- "Partner Credit Card": designates a credit card provided by the Partner to Right Tasker through the Right Tasker Business Software for charging Service Fees.

- “Partner Credit”: signifies a credit purchased by a Client for pre-payment to a Partner in relation to a Partner Service.

- "Partner Client": signifies a client who directly books Partner Services or orders a Product from the Partner, not via the Right Tasker Booking Services or Right Tasker Store, and whose details are stored on the Partner Account.

- "Partner Offer": refers to a promotional offer detailed in a Partner Voucher for specific Partner Services.

- "Partner Services": encompasses Partner-offered products, goods, and/or services available for purchase or booking by a Client, including via a Partner Store.

- "Partner Store": takes on the meaning provided in the Right Tasker Store section.

- "Partner Terms of Sale": denotes the specifics like date, time, price, Partner Services, discounts, location, and other details and conditions (including deposit, cancellation, no-show, or refund policies) available through the Right Tasker Platform at the time of a Right Tasker Booking.

- "Partner Store Terms": holds the meaning assigned in the Right Tasker Store section.

- "Partner Voucher": signifies a voucher issued by the Partner containing details of a Partner Offer and a unique security code. It entitles the holder to avail the Partner Offer subject to Partner Voucher Rules.

- "Partner Voucher Expiry Date": indicates the expiration date mentioned on a Partner Voucher, after which it's no longer redeemable.

- "Partner Voucher Rules": stands for the eligibility requirements and other terms governing the redemption of a Partner Voucher and the provision of relevant Partner Services, as provided by the Partner and indicated on the Partner Voucher.

- "Pay Cash In-Store Booking": represents a Right Tasker Booking where the Client doesn't pay online using the Right Tasker Payment Services.

- "Payment Processor": signifies the third-party payment processor supporting Right Tasker in providing the Right Tasker Payment Services.

- “Promo Codes”: signifies promotional codes generated by Partners and shared with third parties for use during purchases of Partner Services, subject to Promo Code Rules.

- “Promo Code Rules”: denote the eligibility requirements and terms governing the use of Promo Codes provided to third parties.

- "Refunds Policy": signifies a return and refunds policy included in the Partner Terms of Sale.

- "Security Incident": carries the meaning provided in the Independent controllers section of this Agreement.

DATA PROTECTION ADDENDUM
Should you utilize the Right Tasker Services, this Data Protection Addendum ("Data Protection Addendum" or "DPA") becomes a part of and is integrated into the Right Tasker Partner Terms of Business and/or any other relevant agreement between the Partner and Right Tasker (the "Agreement").

The purpose of this Data Protection Addendum is to delineate the guidelines governing Right Tasker's handling of personal data on the Partner's behalf, essential for delivering the Right Tasker Services.

These supplementary conditions come into force on the date when the Partner formally enters into the Agreement. Should any inconsistencies arise between the provisions of this Data Protection Addendum and those within the Agreement, the terms (including definitions) of this Data Protection Addendum shall prevail in matters concerning the processing of personal data.

Definitions
In conjunction with the terms outlined in the Right Tasker Partner Terms of Business, the subsequent words and phrases will be assigned the following interpretations:

"Adequate Country" refers to a country or region acknowledged for ensuring a satisfactory level of protection for Personal Data, as established through adequacy decisions issued periodically by (as applicable): (i) the Information Commissioner's Office ("ICO") and/or as per relevant UK legislation (including the UK GDPR), or (ii) the European Commission in accordance with the GDPR.

"Affiliate" pertains to any corporate entity linked to a given party, directly or indirectly exercising Control, being Controlled by, or being under Common Control with that party (within the period of such Control's existence). An entity "Controls" another if it: (a) possesses a majority of its voting rights; (b) holds a membership or shares in it, with the right to replace the majority of its board of directors or equivalent management entity; (c) holds a membership or shares in it, alone or in conjunction with other members or shareholders, governing a majority of its voting rights; or (d) wields a dominant influence over it according to its constitutional documents or a contractual agreement. "Common Control" is applicable when either of the entities exercises control over the other, directly or indirectly, or if both are under the control (directly or indirectly) of the same entity.

"Data Protection Laws" encompasses:

 
  • within the European Union, the General Data Protection Regulation 2016/679 (GDPR), and
  • within the UK, the UK General Data Protection Regulation 2016/679, implemented by the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2019 and the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2020 (UK GDPR), the Data Protection Act 2018, and the Privacy and Electronic Communications Directive 2002/58/EC (which might be superseded by the Regulation on Privacy and Electronic Communications, "ePrivacy Regulation").

"Data Subject Request" signifies a request from a data subject or their representative to exercise their rights concerning their Personal Data, as stipulated in Data Protection Laws.

"EEA" stands for the European Economic Area, including Switzerland.

"End Users" designates the designated employees and representatives of the Partner who have been authorized by the Partner to access and utilize the Right Tasker Services, Right Tasker Marketplace, and Right Tasker Widget.

"EU SCCs" refers to the Commission Implementing Decision (EU) 2021/914 of 4 June 2021 regarding standard contractual clauses for the transmission of personal data to third countries as per Regulation (EU) 2016/679 of the European Parliament and of the Council. The approved version is available at http://data.europa.eu/eli/dec_impl/2021/914/oj, encompassing the relevant modules and associated appendices.

"2010 SCCs" alludes to the model clauses approved by the European Commission for the transmission of personal data to processors established in third countries, as outlined in the European Commission's Decision 2010/87/EU of 5 February 2010 and available at http://eur-lex.europa.eu/legal-content/en/TXT/?uri=CELEX%3A32010D0087. Alongside the Appendices to the 2010 SCCs featured in appendix 1 of this Data Protection Addendum, these model clauses form a part of the Agreement.

"Personal Data" refers to the Partner Client personal data that is uploaded into the Right Tasker Services by the Partner (or directly by a Partner Client), and subsequently accessed, stored, or processed by Right Tasker in its capacity as a processor.

"Security Breach" pertains to any breach of security or other actions or inactions resulting in inadvertent or unlawful destruction, loss, modification, unauthorized disclosure, or access to Personal Data by Right Tasker, its sub-processors, or any other identified or unidentified third party.

"Supervisory Authority" pertains to the Information Commissioner's Office ("ICO") in the UK, and, where applicable, the Secretary of State or the government. In the EEA, it signifies an independent public authority established according to the provisions of the GDPR.

"UK" refers to the United Kingdom.

The terms "controller," "data subject," "personal data," and "processor" shall carry the meanings assigned to them under the purview of Data Protection Laws.

Roles and compliance with Data Protection Laws
The Partner acts as the controller of the Personal Data belonging to Partner Clients, while Right Tasker operates as the processor of Partner Clients' Personal Data. Both parties are committed to adhering to relevant Data Protection Laws. In their relationship, the Partner assumes full responsibility for the accuracy, quality, and legality of Personal Data, as well as the methods by which such data was obtained. This includes ensuring that the processing activities outlined herein are conducted in compliance with applicable legal requirements by both the Partner and Right Tasker.

Each party is obligated to designate a representative within its organization who is authorized to address inquiries related to Personal Data. The contact information for this representative shall be shared with the other party. Both parties are expected to promptly address and respond to any inquiries concerning Personal Data.

Description of Processing
Partner grants Right Tasker authorization to process Customer personal data in accordance with the guidelines outlined in its Privacy Policy. Right Tasker will exclusively process Personal Data for two main purposes: (i) to deliver the Right Tasker Services and (ii) as directed by Partner in writing, including instructions found within the Agreement or via the Right Tasker Services. It should be noted that Right Tasker retains the ability to anonymize and utilize such data within the framework of the Agreement to enhance its products and services. In the event that any of this data qualifies as personal data, Right Tasker commits to processing it in accordance with the applicable Data Protection Laws.

The details of the processing are as follows:

Subject Matter of the Processing
Right Tasker's provision of Right Tasker Services, Right Tasker Marketplace, and Right Tasker Widget under the Agreement, involving the processing of Personal Data on behalf of Partner.

Nature and Purposes of the Processing
The nature and objectives of the processing encompass various activities such as collection, storage, replication, deletion, analysis, pseudonymization, anonymization, provision, and disclosure of Personal Data. This processing is carried out in alignment with the terms of the Agreement and to facilitate the delivery of the Right Tasker Services to Partner. Any additional processing is also carried out based on written instructions from Partner.

Duration of Processing
Right Tasker will process Personal Data throughout the duration of the Agreement, or until such processing is no longer required for the purposes stipulated in the Agreement.

Types of Data
Any Personal Data uploaded by Partner into the Right Tasker Services will be processed as per the Agreement. It's important to note that Partner is prohibited from uploading, soliciting (e.g., via a Customer booking form), or otherwise handling special category data (e.g., health data). Examples of Partner's staff data include: first and last names, contact information, job/role titles, services provided/qualified for, and access permissions. Customer data includes: first and last names, contact information, and booking details.

Categories of Data Subjects
The Data Subjects potentially encompass Customers, Partner staff members, or other individuals whose personal data is processed via the Right Tasker Services. This applies to those individuals whose Personal Data is provided to Right Tasker through the Right Tasker Services by or under the direction of Partner.

In situations where applicable law mandates the processing of Personal Data beyond Partner's instructions, Right Tasker will notify Partner (unless prohibited by law). Additionally, Right Tasker commits to promptly informing Partner, as soon as feasible, if any instructions from Partner are believed to infringe upon the GDPR, UK GDPR, or any relevant local data protection regulations.

Technical and organizational security measures
Right Tasker is committed to establishing suitable technical and organizational safeguards to uphold a security level that aligns with the potential risks associated with processing Personal Data. These measures are designed to thwart inadvertent or unlawful destruction, loss, modification, unauthorized disclosure, or access to Personal Data. Upon a written request from Partner, Right Tasker will offer a summary of its security measures.

In line with this commitment, Right Tasker will ensure that only authorized individuals are granted access to Personal Data. Moreover, any personnel authorized to access the Personal Data will be bound by obligations of confidentiality. This dual-layer approach aims to fortify the protection and confidentiality of the processed Personal Data.

Security breaches, data subject requests & further assistance
Security breaches:
Right Tasker is committed to notifying Partner of any Security Breach without unnecessary delay, and if feasible, within 72 hours of discovering the breach.

Data subject requests:
In the event that Right Tasker receives a Data Subject Request, it will promptly inform Partner. Right Tasker's response to such a request will be limited to confirming whether the request pertains to Partner. Any additional response to the Data Subject Request will be managed directly by Partner through the features offered within the Right Tasker Services. If Partner lacks the means to address a Data Subject Request, Right Tasker, upon Partner's written request, will provide reasonable assistance to facilitate Partner's response. It is important to note that Partner may be liable for any reasonable expenses incurred by Right Tasker for providing such assistance.

Additional support:
Considering the processing's nature and the information available to Right Tasker, it will offer reasonable assistance as requested by Partner to fulfill its obligations under Data Protection Laws. This assistance may include:
(a) aiding with data protection impact assessments;
(b) ensuring mandatory notifications to the relevant Supervisory Authority under Data Protection Laws, and informing data subjects in response to a Security Breach; or
(c) aiding Partner in fulfilling its responsibilities under GDPR or UK GDPR (where applicable) pertaining to processing security.

Sub-processing
Sub-Processors:
Partner provides a broad authorization to Right Tasker to engage its Affiliates or third-party entities as sub-processors to aid in the provision of the Right Tasker Services. These sub-processors may encompass data center operators, providers of cloud-based software, and other external sources for support and services. Right Tasker will uphold an updated record of these sub-processors and will furnish Partner with advance notice, at least thirty (30) days before the commencement of sub-processing of Personal Data by new or replacement sub-processors. Right Tasker will duly consider any valid objections that Partner might have concerning a new sub-processor. In cases where Partner raises a reasonable objection to a new or replacement sub-processor and no feasible alternative exists for Partner to utilize the Right Tasker Services without involving that sub-processor, Partner's sole recourse will be to terminate the Agreement. Such termination would solely apply to the Right Tasker Services linked to the specific proposed new sub-processor's handling of Personal Data. Partner must provide written notice of termination to Right Tasker, allowing a minimum of 10 days' notice.

Sub-Processor Agreements:
Right Tasker will establish written agreements with each sub-processor. These agreements will ensure that the sub-processors are bound by terms that are no less protective of Personal Data than those stipulated in this Agreement (referred to as the "Relevant Terms"). Right Tasker assumes responsibility towards Partner for any breaches of the Relevant Terms committed by sub-processors, as required by Data Protection Laws.

International transfers
International Data Transfers:
Partner acknowledges that utilizing the Right Tasker Services may involve the transfer of Personal Data to locations outside the UK and/or EEA for processing purposes. This transfer may occur in countries where Right Tasker, its Affiliates, and authorized Sub-processors operate to provide the Right Tasker Services. Right Tasker will ensure that such transfers and processing comply with applicable Data Protection Laws.

Specific Processing under UK GDPR:
In cases where Right Tasker's processing involves transfers subject to the UK GDPR (unless to an Adequate Country), the parties agree that the 2010 SCCs shall be applied and incorporated into this Agreement. Right Tasker will act as the 'data importer' and fulfill the obligations of the 'data importer' as stipulated in the 2010 SCCs. Similarly, Partner will be the 'data exporter' and comply with the responsibilities of the 'data exporter'. The following conditions will apply to the 2010 SCCs:
(a) Relevant information for Annexes 1 and 2 of the 2010 SCCs is detailed in appendix 1 of this Data Protection Addendum.
(b) Partner's right to conduct audits under clause 5(f) of the 2010 SCCs is in line with the terms of clause 8 of this Data Processing Addendum.
(c) Right Tasker's appointment of sub-processors under clause 11 of the 2010 SCCs follows the requirements specified in clause 6 of this Data Processing Addendum.

Specific Processing under EU GDPR:
In cases where Right Tasker's processing relates to transfers subject to the EU GDPR (unless to an Adequate Country), the parties will adhere to the EU SCCs, including Module 2 (C2P) of the EU SCCs, and their corresponding appendices. Upon agreement between the parties, the implemented EU SCCs will be applicable and incorporated into this DPA.

Modification of Transfer Mechanisms:
Right Tasker holds the right to replace the EU SCCs or the 2010 SCCs with any other compliant transfer mechanism as per applicable Data Protection Laws. This may include standard contractual clauses approved by relevant Supervisory Authorities. Furthermore, Right Tasker may make necessary changes to clause 7 by notifying Partner of the new transfer mechanism or adjusted standard contractual clauses.

Transfer to Sub-processors:
If Right Tasker transfers any Personal Data to a sub-processor located outside the UK or EEA (except in an Adequate Country), both parties agree that Right Tasker will ensure the transfer adheres to Data Protection Laws. For this purpose, Partner grants Right Tasker the authority to execute the applicable standard contractual clauses with relevant sub-processors on Partner's behalf.

Audit and Records
Partner's Right to Audit and Inspection:
Partner holds the right to conduct audits in accordance with Data Protection Laws. This can be facilitated through Right Tasker providing Partner with the necessary information within its possession or control, as required to demonstrate compliance with the terms of this Data Protection Addendum. Such information could include an audit report from an independent, registered external auditor that confirms the adequacy of Right Tasker's technical and organizational measures according to an accepted industry audit standard. Right Tasker may also furnish additional information to a Supervisory Authority upon request.

Acknowledgment of Third-Party Certifications:
Partner agrees to thoroughly assess and consider any third-party certifications, audits, or reports provided by Right Tasker that demonstrate compliance with the terms of this Data Protection Addendum. This evaluation should occur before initiating any requests for further information or conducting inspections under this clause 8.

Exceptional Audits by Partner:
If Partner is unable to verify Right Tasker's compliance under this Data Protection Addendum through the methods specified in clause 8, or in the case of a Security Breach or upon the instruction of a Supervisory Authority, Right Tasker will permit Partner (or auditors appointed by Partner) to carry out an audit of Right Tasker's premises and operations. This audit would be conducted to the extent reasonably necessary to confirm Right Tasker's adherence to the provisions of this Data Protection Addendum. To conduct such an audit, Partner is required to provide reasonable prior notice, conduct the audit during normal business hours, ensure that the auditors are bound by appropriate confidentiality obligations, and cover the costs associated with the audit.

Deletion or return of data
Upon the termination or expiry of the Agreement, or upon completion of the Right Tasker Services, Partner will be granted a window of up to thirty (30) days to utilize the export functionality provided by Right Tasker Services to download its Partner Client Data. After this specified period, Right Tasker reserves the right to delete the Partner Client Data.

However, it's important to note that Right Tasker may retain Personal Data beyond termination or expiry under exceptional circumstances. This retention will only occur if it is necessary to comply with relevant legal requirements.

Limitation of liability
Right Tasker's liability to Partner concerning the Data Protection Addendum is subject to a cap that will not exceed the maximum aggregate liability of Right Tasker to Partner as stipulated in the Agreement. It's important to note that this limitation of liability specified in the Data Protection Addendum will not impact Right Tasker's liability in cases of personal injury or death due to negligence, or for any other liabilities or losses that are not legally allowed to be limited through agreement under applicable law.

Partner Referral Program
The Right Tasker referral program is facilitated by Right Tasker ("Right Tasker”, "we", "us" and "our").

We might extend an invitation to Partners to take part in a program enabling them to invite New Partners to become part of the Right Tasker Platform as Partners and earn rewards (referred to as the “Program” or “Referral Program”).

If you have received an invitation as a Partner to participate in the Program, you will be known as a “Referrer”. Upon generating a Referral Link, the Referrer agrees to abide by the terms outlined in this Agreement.

For New Partners who have been invited to join the Right Tasker Platform and create a Partner Account via a Referral Link, you will be known as a “Referred User”. By clicking on the Referral Link and establishing a Partner Account, the Referred User accepts the terms of this Agreement.

Both Referrers and Referred Users may be collectively referred to as (“you”, “your” and “yours”).

Right Tasker retains the right to modify or conclude the Program at its discretion, and this may be done at any time and for any reason, with prior notice given to you. Please take note that these terms are distinct from the services mentioned in the Partner Terms. If terms defined in the Partner Terms are employed in this Agreement, those definitions will apply. Moreover, clauses referenced from the Partner Terms will be applicable as though they were explicitly stated in this Agreement.

How the Referral Program works?
Referrers are required to create a distinctive URL or QR code via the Right Tasker Platform (“Referral Link”) and then provide this link to Referred Users. It is the Referrer’s duty to accurately share the exact Referral Link received from Right Tasker without any mistakes or inaccuracies when passing it to Referred Users. The Referral Link can be used without restriction in terms of the number of times it is employed.

What is the eligibility criteria?
To take part in this Program, you must have attained the age of majority or reached a higher age as stipulated by the laws of your place of residence. If you are below the minimum age required by your jurisdiction, you are not allowed to access, engage, or utilize the Program in any way.

Every Referrer must have received an invitation from Right Tasker to be eligible for participation in the Referral Program, and all Referred Users must have received a Referral Link from a Referrer to be eligible for participation in the Referral Program.

What qualifies as a referral?
The Referred User is required to fulfill the following steps for Program Qualification:

1. Initiate the setup of their Partner Profile using the Referral Link.
2. Successfully complete the setup of their Partner Profile.
3. Conduct legitimate payments through Right Tasker Online Payment service and/or Right Tasker Terminal, meeting the minimum value specified in the referral sign-up process.
4. Be a new partner joining Right Tasker.

This collective process is referred to as "Program Qualification."

Once the Referred User has met all the requirements and completed the Program Qualification, it will be deemed a qualified referral, known as a "Qualified Referral."

We will notify the Referrer through email and Right Tasker's integrated platform notifications when a Referred User has registered on the platform, initiated the Program Qualification process, and when it becomes a Qualified Referral.

Referrers will have the ability to monitor the Program Qualification status of the relevant Referred Users through the Wallet feature. For further details on how Right Tasker utilizes data of Referred Users, please refer to our privacy policy. By proceeding, you acknowledge the terms of our privacy policy and consent to the fact that the Partner associated with this Referral Link will have visibility into your sign-up progress.

Referred Users are required to fulfill the Program Qualification within the period of link expiration, as indicated at the start of the sign-up process.

What qualifies as a referral?
As per the conditions stipulated in this Agreement, upon the attainment of a Qualified Referral, the Referrer will be rewarded with referral credits, while the Referred User will receive welcome credits, collectively referred to as "Credits."

We will communicate to the Referrer the exact value of the referral credit once the Referred User begins the Program Qualification process.

Similarly, the value of the welcome credit will be disclosed at the commencement of the Program Qualification process by the Referred User. Your Credits will be denominated in the currency of your chosen location, as specified in the location settings on the Right Tasker Platform.

You will receive notifications via email and in-app notifications when Credits are credited to your Right Tasker Wallet ("Referral Credit Grant"). These Credits will be visible, and you can monitor the accumulated remaining free Credits within your Right Tasker Wallet.

The accumulated Credits can be applied towards payment for our offered paid services, subject to our discretion and occasional changes.

It's important to note that Credits cannot be converted under any circumstances (including but not limited to conversion to cash, currency exchange, or chargebacks), carry no value outside the Right Tasker Platform, cannot be transferred to another individual, and will expire when the Partner discontinues using the Right Tasker Platform or upon any date that Right Tasker may notify Partner periodically. Right Tasker reserves the right to designate certain parts of the Right Tasker Platform (including specific Additional Services) as ineligible for payment using Credits. No cash alternatives are available.

Each Credit comes with a specified expiry period, as detailed in the Referral Credit Grant ("Expiry").

Any outstanding Credits that remain unallocated to a Service Fee upon Expiry will be removed from your account.

Right Tasker maintains the authority to retain any Credit for investigation purposes or decline processing of any transaction that it considers to be suspicious, fraudulent, or in breach of these terms, or as required by law, court order, governmental mandate, or arbitrational decision.

We strive to provide our best effort.

Right Tasker retains the option to offer technical support to aid the Referrer in utilizing the Program through email or other channels at its discretion. Technical support is not automatically guaranteed for Referrers unless specifically arranged in writing with Right Tasker.

Right Tasker ensures that the Program will be executed with reasonable care and skill and will adhere substantially to any provided description in this Agreement.

All other conditions, warranties, or terms that could potentially apply between the parties, or that are implied or integrated into this Agreement or any accompanying contract, whether by statute, common law, or other means, are expressly excluded. This includes implied conditions, warranties, or terms concerning satisfactory quality or fitness for a particular purpose. Specifically, Right Tasker does not warrant:

 
  • That the Program will precisely match the Partner's individual requirements.
  • That the Program will operate continuously, promptly, securely, without contaminants, or error-free.
  • That any information or outcomes derived from using the Program will be accurate or dependable.
  • That errors within the Right Tasker Program will be rectified.
  • Any defect arising from misuse, intentional damage, negligence by anyone other than Right Tasker, unusual operational circumstances, or failure by the Partner to adhere to Right Tasker's usage instructions.
  • Any material downloaded or acquired through the Program is accessed at your own discretion and risk, and any damage to your computer system or mobile device or loss of data resulting from the download or usage of such material will be solely your responsibility.

You promise us
You acknowledge and consent that your involvement in the Program is solely at your own risk, and the Program is offered by us "as is" and "as available," without any assurance or warranty from us regarding its uptime, operation, or functionality.

As a Referrer you warrant
By becoming a Referrer and entering into this Agreement, you affirm and guarantee that:

1. You will only share the Referral Link with businesses that are not involved in Prohibited Businesses.
2. You will not store personal data about other Referrers in violation of applicable Data Protection laws.
3. You have obtained consent from Referred Users to share marketing materials related to this Program.
4. You are either:
a) A sole proprietor managing a registered business in your local jurisdiction; or
b) An authorized signatory of your duly incorporated business.
5. You are eligible to register and use the Right Tasker Platform and have the legal authority to enter into and fulfill the obligations of this Agreement.
6. The name you provided during registration is either your personal name or the business name under which you offer goods and services.
7. You will not refer yourself or participate in the Program as a Referred User.
8. You will not engage in cheating, hacking, or deceptive practices related to your involvement in the Program, including creating multiple fake Partner Accounts to manipulate or artificially enhance new Partner Accounts.
9. You will not engage in abusive, threatening, or harassing behavior towards other Referrers, Referred Users, or Right Tasker's representatives.
10. You will comply with applicable laws, including local statutory or regulatory requirements or guidance.
11. You will not act unfairly or disruptively, engage in stalking, harassment, or harm towards others.
12. You will not attempt to gain unauthorized access to the Program, accounts, computer systems, or connected networks.
13. You will not transmit files containing malicious features such as viruses, worms, or Trojan horses.
14. You will not infringe or violate the rights of any third party.
15. You will not interfere with another Referrer's use of the Program.
16. You will generate income by providing access to the Program to others.
17. You will distribute the Referral Link using customary personal communication methods when interacting with friends and family members.
18. You will not use bulk email or distribute to strangers.
19. You will not utilize systems, bots, or other devices to gain advantage from the Program.

As a Referred User you warrant
By becoming a Referrer and entering into this Agreement, you affirm and guarantee that:

1. You will not engage in cheating, hacking, or deceptive actions in relation to your participation in the Program, which includes manipulating or artificially enhancing new Partner Accounts by creating multiple fake Partner Accounts.
2. You will not abuse, threaten, or harass other Referrers, Referred Users, or any representatives of Right Tasker.
3. You will adhere to applicable laws, including local statutory or regulatory requirements or guidance.
4. You will not infringe or violate the rights of any third party.
5. Your business is not involved in any Prohibited Businesses.
6. You will comply with relevant Data Protection laws, ensuring Clients and your staff receive all necessary transparency information about the processing of personal information by you and Right Tasker.
7. You are either:
a) A sole proprietor managing a registered business in your local jurisdiction; or
b) An authorized signatory of your duly incorporated business.
8. You are eligible to register and utilize the Right Tasker Platform, possessing the legal authority to enter into and fulfill the obligations of this Agreement.
9. The name you provided during registration is either your personal name or the business name under which you offer goods and services.
10. Any sales transactions submitted by you will accurately describe the products and/or services sold and delivered to a Client.
11. You and all transactions initiated by you will adhere to all federal, state, and local laws, rules, and regulations pertinent to your business, including any applicable tax laws and regulations.
12. Unless in the ordinary course of business, no sales transaction submitted by you through the POS Features or Right Tasker Payment Services will constitute a sale to any principal, partner, proprietor, or owner of your entity.
13. You will not employ the Right Tasker Payment Services, directly or indirectly, for fraudulent activities or any actions that disrupt the use of any aspect of the Right Tasker Booking Services.

General Terms
Our right to remove you from this Program
We reserve the right to investigate, prohibit your participation as a Referrer, or remove any Referrer or Referred User from the Program if we determine, at our sole discretion:
 
  • Your involvement in the Referral Program violates these terms.
  • There is a likelihood that you will breach or have breached any of the warranties stated above.
  • You attempt to undermine the fairness, integrity, or legitimate operations of the Program.
  • As a Referrer, you utilize affiliated websites, affiliate network properties, automated systems, scripts, macros, or similar means to participate.
  • Your use of the Program could be harmful or objectionable to Right Tasker, Clients, or third parties.

Our liability
We retain the right to alter, cancel, or suspend the Program at our discretion.

The provisions in this Agreement will not exclude or limit the liability of either party for:

 
  • Death or personal injury caused by negligence.
  • Fraudulent misrepresentation or any other fraudulent act.
  • Payment of amounts rightfully due and owed to the other party as part of this Agreement.
  • Any liability that cannot be excluded or limited under applicable law.

We will not be liable (whether due to breach of contract, tort including negligence, breach of statutory duty, or otherwise) (even if you have informed us of the potential of such loss or damage) for:
 
  • Loss of income or profits.
  • Loss of sales, revenue, business, or opportunity.
  • Loss of customers, contracts, or opportunities.
  • Damage to reputation or goodwill.
  • Loss of anticipated savings.
  • Loss of hardware, software, or data.
  • Any indirect, consequential, or special loss or damage arising from tort (including negligence) related to this Agreement.

Our maximum combined liability under or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise, will never exceed the value of the Credit (or its equivalent in local currency).

Intellectual Property Rights
Right Tasker and/or its licensors will retain ownership of all Intellectual Property Rights in Right Tasker's brands, trademarks, and logos in relation to this Agreement. Referrer is not authorized to utilize any of Right Tasker's Intellectual Property Rights unless explicitly permitted or required under this Agreement, and such usage would necessitate prior written consent from Right Tasker.

Indemnity
You hereby agree to indemnify, defend, and hold harmless Fresha and its officers, directors, and employees from any and all claims, demands, causes of action, lawsuits, damages, liabilities, fines, judgments, costs (including settlement costs), expenses, and losses, including but not limited to direct, indirect, or consequential losses, loss of profit, loss of reputation, interest, penalties, legal costs (calculated on a full indemnity basis), and all other reasonable professional costs and expenses. This indemnification is related to any breach by you of the terms of this Agreement or any actions (or failures to act) by you, any person acting on your behalf, or any engagement in Prohibited Businesses, Data Protection Legislation, or Intellectual Property Rights. It covers claims brought by third parties in connection with the Program provided (or not provided) by you.

You acknowledge that this Agreement is not only for our benefit but also as an agent for each of our officers, directors, and employees (collectively referred to as "Indemnified Third Parties"). The rights and benefits of indemnification outlined in this section apply to each Indemnified Third Party as if they were a party to this Agreement themselves. These rights can be enforced by us as an agent for each Indemnified Third Party. However, you and we can agree in writing to amend any provision of this Agreement without requiring the consent of any Indemnified Third Party, even if the amendment affects the rights conferred upon them.

This Indemnity section will remain in effect even after the termination or expiration of this Agreement.

Settling disputes, governing law, and courts
This Agreement shall be governed by and construed in accordance with the laws of Australia. The parties agree to exclusively submit to the jurisdiction of the Australian courts to resolve any disputes arising from this Agreement.

Definitions
"Right Tasker Booking" refers to an appointment booking made by or for a Client through the Right Tasker Booking Services or via the Right Tasker Payment Services for the purpose of receiving Partner Services. It involves the Client selecting a specific date and/or time for receiving the said Partner Services. Right Tasker Booking encompasses both Right Tasker Bookings with Online Payments and Pay Cash In-Store Bookings.

"Right Tasker Online Payment" pertains to the service provided by Right Tasker to Partners for facilitating the collection, processing, and refunding of payments from Clients via the Right Tasker Platform. This service enables Clients to make payments to Right Tasker, which settles the Client's payment obligations to the Partner.

"New Partner" denotes an individual or entity that does not currently possess, nor has previously held, a Partner Account associated with Right Tasker. It's important to clarify that being considered a new partner excludes those who were previously a Partner and are now part of a different entity.

"Payment Processing" refers to the service provided by Right Tasker to Partners for the seamless collection, processing, and refunding of payments from Clients. This primarily applies to transactions conducted through Right Tasker Bookings with Online Payments.

"Partner Profile" signifies a fully configured Partner Account on the Right Tasker Platform, complete with Right Tasker Payment Processing capabilities, and the acceptance of the Partner Terms of Business.

"Credit" refers to a credit granted by Right Tasker to either a Referrer as a referral credit or to a Referred User as a welcome credit. This credit is awarded following a Qualified Referral as part of the Referral Program and can be applied towards all paid services offered by Right Tasker.

"Referral Link" stands for a unique URL generated for Referrers, which can be shared with Referred Users as part of the Referral Program.
